Resolution Authorizing Intermunicipal Cooperation Agreement
At a regular meeting of the Town Board of the Town of Wappinger, Dutchess County,
New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on June 12th,
2006.
The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll being
called, the following were present:

The following Resolution was introduced by Councilman Valdati and seconded by
Councilwoman McCarthy.
WHEREAS, The following municipalities are all currently conducting a revaluation of
all assessments of locally assessed properties, as defined by Real Property Tax Law 102:
• CITY OF BEACON;
• TOWN OF BEEKMAN;
• TOWN OF EAST FISHKILL;
• VILLAGE OF FISHKILL;
• TOWN OF LAGRANGE;
• CITY OF POUGHKEEPSIE;
• TOWN OF POUGHKEEPSIE; AND
• TOWN OF WAPPINGER; AND
WHEREAS, The above listed municipalities desire to contract for the purpose of having
prepared and aired on local television an informational announcement to educate the public on
the revaluation process (the "Informational Announcement"); and
WHEREAS, The parties enter into this intermunicipal agreement for the purpose of
memorializing and outlining their understandings in furtherance of this undertaking; and
WHEREAS, a proposed intermunicipal agreement is annexed hereto as Exhibit "A'; and
NOW, THEREFORE, BE IT RESOLVED that the Town Board approves, and
authorizes the Supervisor to execute, a proposed intermunicipal agreement for the procurement
of services for an Informational Announcement, or any other agreement document having
substantially the same or similar provisions.
The foregoing was put to a vote which resulted as follows:

INTERMUNICIPAL COOPERATION AGREEMENT
AGREEMENT, made this day of , 2006 between
the CITY OF BEACON ("Beacon"), the TOWN OF BEEKMAN ("Beekman");
the TOWN OF EAST FISHKILL ("East Fishkill"), the TOWN OF
FISHKILL ("Town of Fishkill") .the VILLAGE OF FISHKILL (""Village
of Fishkill"), the TOWN OF LAGRANGE ("LaGrange"), the CITY OF
POUGHKEEPSIE ("City of Poughkeepsie"), the TOWN OF POUGHKEEPSIE
("Town of Poughkeepsie"), and the TOWN OF WAPPINGER
("Wappinger"), all being municipal corporations in Dutchess
County, New York.
WHEREAS, this agreement is made pursuant to General
Municipal Law, Article 5-G; and
WHEREAS, each party is empowered by law to advertise for
purposes that promote the general welfare of the Town and/or
Village; and
WHEREAS, the parties are all currently conducting a
revaluation of all assessments of locally assessed properties,
as defined by Real Property Tax Law §102; and
WHEREAS, the parties desire to contract for the purpose of
having prepared and aired on local television an informational
announcement to educate the public on the revaluation process
(the "Informational Announcement"); and
WHEREAS, all parties have warranted to the Town of
Fishkill, by a Board or officer with apparent or actual
authority, that they shall approve and enter into this
agreement, and contribute the share of costs hereinafter
identified, and that the Town of Fishkill may advance their
respective share of payment in advance of each party's approval
of this agreement due to the fact that obtaining the information
services to be procured under this agreement is time of the
essence; and
WHEREAS, the parties enter into this intermunicipal
agreement for the purpose of memorializing and outlining their
understandings in furtherance of this undertaking.
NOW, IT IS HEREBY AGREED for mutual consideration, between
the parties as follows:
1. The total amount to bepaid for the Informational
Announcement is $9,800.00...
2. The total amount of $9,800.00 will be paid according
to the following schedule:
a. $2,900.00 will be due after the initial meetings,
ENG shoots and interviews,'or upon the Town of Fishkill's
approval of this agreement, whichever is later. Payment is to
be made by issuance of the following checks:
i. $600.00 made payable to `Kimberly Hart" and
sent to the following address:

ii. $800.00 made payable to "Michael McCartney"
and sent to the following address:

b. $2,900.00 will be due after the producers of the
Informational Announcement present to the parties a preliminary
version of the half hour program for view and comment, or upon
the Town of Fishkill's approval of this agreement, whichever is
later.
i. $600.00 made payable to "Kimberly Hart" and
sent to the address listed in Paragraph (2)(a)(i), above.
ii. $800.00 made payable to "Michael McCartney"
and sent to the address listed in Paragraph (2)(a)(ii), above...
iii. $1,500.00 made payable to "Terence Michos"
and sent to the address listed in Paragraph 2(a)"(iii), above.
c. $4,000 will be due after the producers of the
Informational Announcement present the parties with a final
version of the -half hour program, or upon the Town of Fishkill's
approval of this agreement, whichever is later.
i. $800.00 made payable to "Kimberly Hart" sent
to the address listed in Paragraph (2)(a)(i), above.
ii. $900.00 made payable to "Michael McCartney"
and sent to the address listed in Paragraph (2)(a)(ii), above.
iii. $1,800.00 made payable to "Terence Michos
and sent to the address listed in Paragraph 2(a)(iii), above.
iv. $500.00 made payable to "Cablevision
Corporation" and sent to the following address:

3. Based on the total cost of $9,800.00, each individual
party to this contract shall be obligated to contribute
$1,089.00. Said payment of $1,089.00 shall be made payable to,
and shall be deposited with, the Town of Fishkill immediately
upon approval of the agreement by the party's authorized board
or officer, and shall be delivered via first class U.S. mail or
express mail to the following address:

4. The Town of Fishkill has the right to advance funds
pursuant to this agreement and to*seek reimbursement from the
parties to this agreement.for any advancement of funds.
5. The Town of Fish�ill shall be obligated to deposit all
monies ina-..bank account located within Dutchess County, and to
hold all monies.in that account until such time as payments are
due to the producers of the Informational Announcement, or to
otherwise reimburse itself,to the.extent that the -Town of
Fishkill has advanced payment in advance of and in reliance upon
the other parties acceptance of this agreement.
6. All parties shall have the right to inspect and review
the Town of Fishkill's records with regards to said account upon
request.
7. This Agreement shall be amended or modified only upon
approval by a majority vote of the Town Board of each Town, and
the execution of a modified agreement.
8. Upon failure of the Town Boards of the various Towns
to settle disputes or disagreements arising between themselves
as to the provisions of this agreement, including the failure of
one of the parties to pay its share of the costs and expenses
incurred under this Agreement, the prevailing party in any
dispute shall be entitled to collect its reasonable and
necessary attorneys fees, together with all witness costs and
disbursements, from the defaulting party.
9. This Agreement may be executed in several
counterparts, each of which shall be deemed an original and all
of which together shall be deemed one instrument.
IN WITNESS WHEREOF, the parties have hereunto set their
hands and seals the day and year first written above.'.
