RESOLUTION AUTHORIZING THE EXECUTION OF AN EXTENSION
AGREEMENT BETWEEN THE TOWN OF WAPPINGER AND THE COUNTY
OF DUTCHESS FOR A TRANSPORTATION SYSTEM FOR
SENIOR CITIZENS AND HANDICAPPED INDIVIDUALS
At the regular meeting of the Town Board of the Town of Wappinger, Dutchess County,
New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on the 15th
day of January, 2005, at 7:30 p.m.
The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll being
called, the following were present:

The following Resolution was introduced by Mr. Valdati and seconded by
Ms. McCarthy
WHEREAS, Article 5G of the General Municipal Law provides joint services to
participating municipal corporations and permits contributory funding by the respective
municipal corporations according to the amount of services received, and
WHEREAS, a joint service transportation system for Senior Citizens and Handicapped
individuals in the Towns of Hyde Park, Fishkill, East Fishkill, Wappinger, Poughkeepsie,
Pleasant Valley, LaGrange, Red Hook, Beekman, Dover and Union Vale and the City of
Poughkeepsie will cost One Hundred and Ninety Six Thousand, Three Hundred and Forty Four
Dollars and 48/100 ($196,344.48) for a one (1) year period, and

WHEREAS, the Dutchess County Legislature by resolution, has authorized the
establishment of a Transportation System for senior citizens and handicapped individuals to
serve the twelve (12) Towns of Hyde Park, Fishkill, East Fishkill, Wappinger, Poughkeepsie,
Pleasant Valley, LaGrange, Red Hook, Beekman, Dover and Union Vale and the City of
Poughkeepsie; and
WHEREAS, the Town of Wappinger ("Town") had previously entered into an
Agreement with the County of Dutchess ("Dutchess") providing a joint service transportation
system for senior citizens and handicapped individuals; and
WHEREAS, said Agreement has been amended and extended from time to time; and
WHEREAS, the Town desires to extend the term of said Agreement for an additional
period of one (1) year at a cost to the Town not to exceed the sum of Thirty Three Thousand,
Nine Hundred Nine and 12/100 ($33,909.12).
NOW, THEREFORE, BE IT RESOLVED, as follows:
The recitations above set forth are incorporated in this Resolution as if fully set
forth and adopted herein.
2. The Town Board hereby accepts the terms and conditions set forth and contained
in the Extension Agreement, by and between the County of Dutchess and the Town of
Wappinger, providing a joint service transportation system for senior citizens and handicapped
individuals.
3. The Supervisor of the Town, Joseph Ruggiero, is hereby directed and authorized
to execute the Extension Agreement, a copy of which is affixed hereto by and on behalf of the
Town of Wappinger.

EXTENSION AGREEMENT
THIS AGREEMENT, made this day of , 2004, by and between the
COUNTY OF DU'TC.HESS, a municipal corporation with offices at 22 Market Street,
Poughkeepsie, New York 12601 (hereinafter referred to as the "COUNTY'), and
WAPPINGER, TOWN OF, a municipal corporation whose address is PO Box 324, 20
Middlebush Road, 'Wappingers Fails, NY 12590 (hereinafter referred to as the
"PARTICIPATING MUNICIPAL=-).
WITNESSETH:
WHEREAS, the parties hereto made and entered into an agreement dated April 29, 2004
(County Contract No, 04 -0342 -12/04 -OA), providing a joint service transportation system for
Senior Citizens and Handicapped individuals, which contract has from time to time been
extended, and
WHEREAS, the parties desire to extend the term of said contract for an additional period
of one (1) year, upon the teens and conditions hereinafter set forth, now, therefore, it is mutually
agreed by and between the parties hereto that County Contract No. 04 -0342 -12/04 -OA, dated
April 29, 2004, is hereby extended upon the following terms and conditions.
1. The fourth "WHEREAS" paragraph of the underlying Agreement shall be
amended as follows:
WHEREAS, the Town Board of the Town of Wappinger has
agreed to participate in the support to the program not to exceed
$33,909.12, and
2. Paragraph "2," entitled "Term of Agreement," shall provide as follows:
This Agreement shall be effective January 1, 2005 and shall.
terminate on December 31, 2005, unless otherwise terminated as set forth
herein.
3. Paragraph "3," entitled "Payment," shall provide as follows:
The Town will pay to the County, pursuant to signed voucher
submitted to the Town, pursuant to the schedule of collections attached
hereto and made a part hereof and marked Exhibit "B-1." Payments by the
Town will not exceed $33,909.12 during the term of this Agreement.
4. All other terms and conditions of the underlying agreement, and any amendment
thereto not expressly amended or altered by this agreement, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement.

EXTENSION AGREEMENT
