Councilman Fenton asked to reschedule this discussion to Jan 23rd.
2. Motion To: Amend Resolution 2016-299 to re-schedule the Public Hearing until January 23rd
Town Clerk Joseph Paoloni addressed the board concerning Resolution 2016-299 where he had
not yet received any of the information to publish the legal notice from Attorney Jim Horan. He
suggested re-scheduling it until January 23rd, 2017 to give Mr. Horan more time to come up with
the documents. The board agreed.

RESOLUTION: 2016-308
Resolution Amending Resolution 2016-277 (Reimbursement Intent Resolution) In
Connection With Tall Trees Emergency Interconnection Adopted By The Town Board On
October 24, 2016
WHEREAS, the Tall Trees wells failed and an emergency interconnection was made between
the Tall Trees Water System and the United Wappinger Water District (UWWD) water main located
in/under Wheeler Hill Road; and
WHEREAS, the emergency interconnection consisted of an aboveground connection; and
WHEREAS, by letter dated September 15, 2016 from the Dutchess County Health Department,
the Town was directed to make a permanent underground connection between the Tall Trees Water
System and UWWD water main located in/under Wheeler Hill Road; and
WHEREAS, Robert J. Gray, P.E. of Morris Associates Engineering and Surveying Consultants,
PLLC, the Engineer to the Town, originally estimated that the costs to make this permanent
underground connection would be $120,000; and
WHEREAS, this permanent underground connection is undertaken as part of a project to
formally extend the UWWD to include all the area presently served by the Tall Trees Water
Improvement Area(TTWIA); and
WHEREAS, by Resolution adopted by the Town Board on October 24, 2016 (Resolution No.
2016-277), the Town Board adopted a Reimbursement Resolution intending to bond the costs of this
interconnection at a cost not to exceed $120,000; and

WHEREAS, after the solicitation of proposals for said project, the bid from the lowest
responsible bidder was in the amount of$134,000.
NOW, THEREFORE, BE IT RESOLVED:
1. The recitations above set forth are incorporated in this Resolution as if fully set forth
and adopted herein.
2. It is hereby resolved that Resolution 2016-277 adopted by the Town Board
on October 24, 2016 is hereby amended to reflect the amount to be bonded will be $134,000, the
actual amount of the bid submitted by the lowest responsible bidder.

RESOLUTION: 2016-310
Resolution Authorizing Amendment To Waste Water Transmission Contract Between
Village Of Wappingers Falls And Town Of Wappinger
WHEREAS, the VILLAGE and the TOWN both discharge waste water to the Tri-Municipal
Sewer Plant located in the Town of Poughkeepsie; and
WHEREAS, the VILLAGE and the TOWN have common boundaries and, for design
considerations, it is more practicable for certain TOWN properties to discharge waste water
through the VILLAGE'S waste water transmission lines, and, concomitantly for certain
VILLAGE parcels to discharge waste water through TOWN owned waste water transmission
facilities; and
WHEREAS, by Agreement dated May 2, 2011, the VILLAGE and the TOWN entered
into an Agreement which permitted certain properties located within the jurisdictional limits of
the VILLAGE to discharge waste water through waste water transmission pipes (Sewer Main)
owned by United Wappinger Sewer District(hereinafter"UWSD"); and
WHEREAS, on the third "Whereas" clause located on page 4 of said Agreement, certain
parcels were formally designated as "VILLAGE AUTHORIZED PARCELS" consisting of the
following:

Road, LLC and commonly known as 6-20 Marshall Road, Wappingers Falls, New York, and
further described as tax grid number 135601-6157-07-735965; and

WHEREAS, the TOWN has determined it has waste water transmission capacity
sufficient to allow it to transmit sewage from the 6-20 Marshall Road, LLC property (above
identified) to the Tri-Municipal Sewer Plant through the Sewer Main owned by UWSD; and
WHEREAS, the VILLAGE and the TOWN have determined that the most efficient and
practical way for transmitting sewage from the 6-20 Marshall Road, LLC property to the Tri-
Municipal Sewer Plant is through the Sewer Main maintained and operated by UWSD.
NOW, THEREFORE, BE IT RESOLVED, as follows:
1. The recitations above set forth are incorporated in this Resolution as if fully set
forth and adopted herein.
2. The Town Board Members hereby acknowledge they have reviewed the terms
and conditions of the Amendment Agreement and find the proposed amendments to be
reasonable and acceptable.
The Town Board hereby authorizes and directs the Town Supervisor to execute the
Amendment Agreement between the Village of Wappingers Falls and the Town of
Wappinger in substantially the same form as attached hereto, subject to any revisions of
the terms and conditions as deemed appropriate and necessary by the Attorney to the
Town.

WHEREAS,the Town Board authorized the Engineer to the Town, Morris Associates
Engineering and Surveying Consultants, PLLC, to solicit bids for the replacement of windows in
Town Hall; and
WHEREAS,bids were duly solicited and the following bids were received on December
19, 2016 as follows:

WHEREAS,it has been determined that the lowest responsible bidder is Basec Corp.,
with a base bid in the amount of$95,600 and an option 2 bid in the amount of$12,740.
NOW, THEREFORE,BE IT RESOLVED, as follows:
1. The recitations above set forth are incorporated in this Resolution as if fully set
forth and adopted herein.
2. The Town Board hereby awards the bid for the replacement of windows in Town
Hall to Basec Corp.,in the base bid amount of$95,600 and an option 2 bid in the amount of
$12,740.
In accordance with the bid specifications, the Town Board hereby authorizes the Supervisor to
execute the contract documents as prepared by Morris Associates Engineering & Surveying
Consultants, PLLC, including the Notice of Award and Notice to Proceed and forward a copy to
Basec Corp., after the Attorney to the Town has confirmed that Basec Corp., has duly executed
the contract documents, has supplied the necessary Performance Bond, Payment Bond and
insurance certificates all as otherwise specified by the bid specifications.

Resolution Terminating Members Of The Recreation Committee
WHEREAS, the Town of Wappinger Recreation Committee consists of eight (8)
members appointed by the Town Board for a period of two (2) years; and
WHEREAS, the Recreation Committee Members serve at the pleasure of the Town
Board and the individual Members may be removed by the Town Board at any time, with or
without cause; and
WHEREAS, the present term of the Recreation Members will terminate on December
31, 2017; and
WHEREAS, the Town Board elects to accept the resignations, of the appointment of two
(2)Board Members.

NOW, THEREFORE, the above-referenced Waste Water Transmission Contract is E

Parcel has received appropriate site plan approval from the Village of Wappingers Falls Planning 0
Board and, accordingly, have been connected to the Sewer Main in accordance with the terms of
the original Waste Water Transmission Contract. E
6.4. The VILLAGE and the TOWN confirm that the Riverbend II Parcel has

connected at the point of connection as recommended by the Engineer to the Town.
6.5. The 6-20 Marshall Road, LLC parcel will not be permitted to connect to

the Sewer Main until such time as the 6-20 Marshall Road, LLC parcel has received final site

plan approval from the Village of Wappingers Falls Planning Board for a residential complex not Ui
to exceed 24 residential dwelling units containing not more than 48 bedrooms.

6.6. The point of connection of the 6-20 Marshall Road, LLC parcel from the
Sewer Main shall be in the sole discretion of the TOWN, upon advice and recommendation of

the Engineer to the Town, and in accordance with Plans prepared by The Chazen Companies r-
identified as "Marshall Road Residential Development, Village of Wappingers Falls, Dutchess
County, New York;" the point of connection is depicted on Page of the aforementioned
Plans, a copy of which is affixed hereto as Exhibit"A."
4. The provisions of Article I, paragraph 7 are confirmed with the express

understanding that the VILLAGE AUTHORIZED PARCELS also include the 6-20 Marshall
Road, LLC parcel.

5. Costs and Attorneys' Fees. As a condition to permit 6-20 Marshall Road, LLC 0
to utilize the Sewer Main, the owners of 6-20 Marshall Road, LLC must agree by separate
document that it will be responsible to pay all costs and charges, and assume all duties and
responsibilities and comply with the sewer use code or any other regulation governing the use of a

the Sewer Main. The TOWN or VILLAGE may enforce this Agreement by judicial action and
the prevailing party shall be entitled to recover its reasonable costs and attorney's fees in any 0

On December 19, 2016 the Town of Wappinger received two (d) bid proposals
for the above referenced project. The breakdown of bid is as follows

Basec Corporation Base Bid $ 95,600.00

Per the Bid Documents, the basis of comparison for the contract award was the
Base Bid amount.
This office has completed the review of the bid proposals. The apparent low
bidder is Basec Corporation of Milton, NY with a base bid of $ 95,600.00. 0
Morris Associates has contacted the project references provided by Basec
Corporation and all project managers were very satisfied with Basec Corporation. One
reference had worked on multiple projects with Basec. All references gave high marks
to Basec regarding the quality of work, attention to detail, timeliness of completion, CN4
handling of shop drawings and other documentation, communication and attitude.
It is our opinion that Basec Corporation is qualified toperform the.proposed work
required for this project. All portions of the bid prepared by Basec Corporation appear
to have been correctly executed.
