Thank you for the opportunity to provide you with a proposal to conduct a
Phase I Environmental. Site Assessment (ESA), including sampling of suspect
asbestos containing materials and testing of suspect lead based paint, for the above
referenced property. The Chazen Companies (TCC) have successfully worked with
hundreds of clients and every bank in the region in the preparation of Phase I ESA
reports. The scope of work for the Phase I ESA will be performed in accordance
with the scope and limitations set forth in the American Society of Testing and
Materials (ASTM) Standard Practice E 1527-97 (Phase I Environmental Site
Assessment Process) and E 1528-96 (Transaction Screen Process).
The purpose of the ESA is to identify recognized environmental. ca.nditions,
including the presence or likely presence of any hazardous substance or petroleum
product on a property. The ASTM Standard Practice has been established to allow
a lender or property owner to satisfy one of the requirements necessary to qualify
for the "innocent landowner defense" for liability under the Comprehensive
Environmental Response, Compensation and Liability Act (CERCLA).

The scope of work as defined by ASTM Standard Practice E 1527-97 includes
the following: a Site Inspection, including a visual inspection of the subject
property and adjacent properties; a Records Review, including a review of the
history and ownership of the property for a period of fifty years, if available, and a
review of all pertinent records of the United States Environmental Protection
Agency (USEPA), New York State Department of Envixonmental Conservation
(NYSDEC), and the Ulster County Department of Health (UCDH); Interviews with
Property owners, occupants, and other appropriate individuals familiar with the
site; and preparation of a Report that incorporates the above information and
includes the findings of the investigation, our conclusions and recommendations.
There may be environmental issues or conditions at a property that are outside
of the scope of ASTM Standard Practices, but may be a useful aid to potential or
current property owners when assessing a property. The limitations of work as
defined by ASTM Standard Practice E 1527-97 includes the following items which
will not be investigated unless specifically requested:

Lead -Based Paint
Lead in Drinking Water
Wetlands
Floodplain
As per your conversation with George Minervini in July of 1998, 1 understand
you are interested in a Phase I Environmental Assessment, Asbestos testing, and
Lead -Based Paint testing. The estimated cost of the Phase i ESA is $2,750 based on
the size of the property and number of buildings requiring evaluations. The report
can be completed approximately three weeks after your authorization to proceed.
The estimated cost to test suspect lead based paint is $2000. The estimated cost to
collect samples of suspect asbestos containing materials is $1.500. Due to the fact
that the number of suspect asbestos containing material samples is determined by
the number of different materials encountered and the amounts present, the
estimated cost to have the samples analyzed by an independent laboratory is given
in unit costs. Friable suspect asbestos containing materials will be analyzed by
Polarized Light Microscopy at a cost of approximately $10 per sample. Non -friable,
organically bound samples such as floor file and roofing materials will be analyzed
by Transmission Electron Microscopy at a cost of approximately $55 per sample.
These figures are based on a standard five-day laboratory turnaround time. A
faster turnaround time can be requested from the laboratory at additional cost.

4 INDEMNITY & LIMITATION OF LIABILLM, Client and TCO have discussed the risks, rew:,rcts and benefits of the
project and TCC's fees for services under this Agreement. Client and TCC have also discussed the allocation or rick

A. TCC shall carry and maintain Workers Compensation, General Liability, Autornobilo Liability and Professional Liability
insurance. TCC will provide Client certificates of insurance upon request: TCC agrees to indemnify Cliant against loss
caused by the actions of TCC, anti the employoos and subcontractors of TCC, within the terms and conditions of the insurance
coverage maintained by TCC, subject to the limisation of liability set forth in paragraph 4(B) below. TCG will not bo
responsible for any loss or liability, or any violation of law, rule:, regulation or decree by Client or the employees, agents,
contractors, or consultants of Client.
B. TCC agrees that it will not bring hazardous or toxic materials onto Chcnt's property. Client understands t.hw, the
ordinary course of work performed by TCC may result in the excavation and ralocration of hazardous or toxit materials that
war on or under tho property before TCC began its work, Client understands that Client is solely responsible for the cost or
investigating, removing, and remediating such materials.
C. TCC's liability for any and all claims related to professional services errors or omissions under this Agreement, however
grising, shall be limited to the lesser of $50,000 or tl,e totstl compensation roceived by TCC from Client, and Client hereby
releases TCC from any liability or contribution above such amount. Thi; limitation of liability shall include but not bo limited
to TCC's negligence, errors, omissions, strict liability, breach of contract, and breach of warranty. In no event shall TCC be
liable for incidental or consequential damages, including loss of profits or revenue resulting from Any cause or causes.

5. TEMNATiON. In the event of substantial failure by either party to perfbrm under this Agreement, the aggriovLd party
may terminate this Agreement upon seven (7) days written notice. If this Agreoment is torminutt)d, ClienL shall remit all

agreemenc(s), modify and amend this Agreement, Any such amendment must be in writing and be signed by tha party
against whom enforcement of tho amendment is sought. No breach of any part of this Agreement shall bo doomed wuivetl
unless expressly waived in writing by the party who might assort such a broach. The failure of any party to insist in any one
or more instances upon strict performance of this Agrooment shall not be construed as a waiver of the right to insist upon
strict performance.
14. GOVERNING LAW: This Agreement shall be governed and construed by the, lo-iws of the SLate of Now York. For purposes of
any legal action or suit related to or arising out of this Agroornent venue shall be Dutchess County. Now York.
11. COUN PARTS: This Agreement, and any amendments or revisions thereto, may be executed in two or more
counterparts each of which shall be deemed an original, but which together shall constitute one and the same instrumont(s).
12. REPRESENTATIONS: Client and TCC state that each has full power and authority to make. exacuta and perform this
Agreement. Signatory for Client states that he is an officer, owner, partner, agent or attorney for Client. Neither CIienr. nor
TCC is b=krupt or have availed thorazolvos of any debtor's remedies nor are currently contemplating such.

To the editor:
What a delight to read of the Town of Wappingerbs plan to
acquire the Greystone property on the Hudson River for passive
recreation. I can testify to the marvelous river vista from
that property and am sure the town citizens will find much
there to enjoy.
I.recently read a news article describing how many US commuhities
are waking up to realize the importance of saving their remaining
open space areas, as compared to the former tendency to think
of land as a commodity to be used up. I congratulate the
members of our town board and Supervisor Smith for their
forward -thinking action. We should support them (funds, volun-
teering) to keep the ball rolling.

Dear Supervisor Smith,_
Since our presentation before Town Board in December of last-year, I have had the opportunity to.
reflect upon the findings presented and the questions posed by the Board during our, discussions that
night. In subsequent conversations, we have considered what the most appropriate use for the
Greystone site might be; if costs have become to great to viably convert this site into a seniors facility.
and/or Town recreational center.-
To date-,
enter.Todate-, we have investigated many approaches to 'resolution of the Towns recreational needs, some in.
greater detail than others. We began by conceptually analyzing the suitability of Town-owned
properties and.concluded by performing a detailed assessment of the viability and costs associated with
conversion of the Oreystone site into a recreationial complex. As is often times the case with;..
alternatives of such diversity, the path of investigation has been long and the goals which we now
gauge decisions upon are different from those which we originally set out to, meet.
To revisit the original charter of our team, we were to determine. the "best" manner through which the.
short and long term goals of the Recreation Department could be met, presenting our
recommendations to the Board. In my assessment, I have determined the word "best" to mean both '
cost efficient and cost effective. The immediate (or shortterm goal) consisted of finding a new seniors
recreational center to handle the Towns bourgeoning senior population. It was, at that time;
imperative to find meeting,space (even if on a temporary basis} as the Town Hall facility had became -
grossly undersized.for its.current schedule of use. With this situation resolved, the Town would focus.
on the long term goal of creating a recreation complex. It was determined that it would. be
advantageous to locate (if possible) the immediate needs of the seniors on the same site"as the future
recreation colllplex.
In response to this assignment, Mr. Paggi and I presented our preliminary recommendations in his _
letter of June 5`" 1998 to the Town Board (a copy is "attached): In this letter we stated that it appeared
the Monfort Road/ Pye Lane recreation property could potentially House both the long and short
term needs of the Town. Many of the outdoor. activities proposed in the long range plan currently
exist at this, site: Simultaneously, the Town would centralize its premiere recreational site adjacent to

the nucleus of the Recreation Departments maintenance facility. The new building would be one
story, fully accessible and built,for a projected 50 year life span:
Alternately, with the evolution of the Greystone" facility, the Town expanded upon their long term

goals considering other activities which would not be feasible due to space and/or location constraints
at the MonfortRoad site; sledding, golfing, and river access to name but a few. All could be
accommodated on this site. It is one of, if not the only. remaining water front property of this
magnitude in the Town and its; views are breathtaking. Iri addition, the property has existing
structures which could be -renovated to house all'of the combined short and long term programmatic
activities planned. As these are all assets of this site, there are some very real liabilities. as well. Access
to the facility is difficult at best and may involve additional property purchase to mitigate.
Maintenance costs wouldbe much greater than at the alternate site as its size�is .vastly larger and it zs
decentralized from all existing maintenance staff and equipment. As with the site, the buildings are
also vastly larger than programmatic needs dictate: While space would exist for future 'development, it
would require continual maintenance while meeting no current need.:
While available space appears limitless at the Greystone site, it. is restricted at the Monfort Road
location. There is the possibility that the Town may out grow. the Monfort site some time in the
future. However-, based upon a comparative analysis of the initial goals established by the Recreation
Department and the potential magnitude- of the investment. at the Greystone site; L believe further
evaluation of the Monfort Road` site is warranted. In reviewing this document please note that my`.
recommendations are not influenced by the input of your. constituency, and therefore may- not address
local concerns of adjacent residents:

After our initial meeting regarding the above referenced item, it was decided that Don
Swartz and myself would look at sites that would be advantageous for the Town to
consider in developing a short term and long term plan for recreation use. .
After looking at a. number of sites, Don and I narrowed it down to one, which is the
existing Monfort Road/Pye Lane Recreation site that the Town currently owns. There
appears to be enough suitable property on the Monfort Road site to house the short-term
and at least a significant portion of the long-term recreation needs of the Town.
In order to better define this potential and to take this project one step further, a detailed
topographic survey map of the area would be required. At this point in time, we are
seeking direction from the Town Board which direction you wish us to go.

Retardation and Developmental Disabilities that, since we maintain
primary responsibility for approving and funding the project, and,
as the authority having jurisdiction, certifying the project for
operation, the Wassaic DDSO should be named lead agency in this

inclusion in the State and National Registers of Historic Places. Please

Based on reported resources, it is the opinion of the OPRHP that your
project area may contain an archeological site. Therefore, it is our
reconmtendation that unless substantial ground disturbance can be do=ented,

brick construction fired arched windows with stone lintels -and over -
h rooflane with hea brackets. The residence was built- as the
focal int of a 1 e Hudson River Estate in circa 1860.
III. ADDITIONAL COMMENTS:
Related outbuildings and landscape frcn the estate period, and buildings
constructed during the properties later use as a. novitiate remain
unevaluated at this time. More information on these other resources
will need to be provided before the SHiaO can assess the eligibility of
these potential contributing resources.

Last year the Town of Hyde Park sponsored a $20,000.00 Community Development
Housing Match on behalf of Greystone House, Inc. My agency is working with
Greystone to rehabilitate one of their buildings and advised Greystone staff
to contact the Town of Hyde Park. I was hoping to request a similar sponsorship
from the Town of Wappinger. Unfortunately, our request was not submitted
to the Town.
At this point, the County's Planning Department has requested that I secure
confirmation of the Town of Wappinger's knowledge and concurrence of the Town
of Hyde Park's grant to Greystone. This request/situation is similar to when
the Town of Wappinger contributed funding to Wappingers Youth Outreach, Inc.'s
Village of Wappingers Falls and City of Poughkeepsie projects. May I request
this confirmation.
In closing, a sincere note of thanks to you and the Town Board for your on-going
support of my agency's projects. It is greatly appreciated.
