Zon V.Adopting Local Laws RESOLUTION: 2022-1 Resolution Adopting Negative Declaration For Local Law No. 1 Of The Year 2022 Entitled Property To The R- PROPERTY TO THE R- WHEREAS, the Town Board has determined that the Proposed Action is an unlisted action pursuant to Article 8 of the Environmental Conservation Law, Part 617 NYCRR (commonly known as "SEQRA"); and WHEREAS, the Town Board has determined that the proposed Local Laws are an action for which there are no other Involved Agencies and that the Town Board is therefore, by default, the Lead Agency for this action; and WHEREAS, the Attorney to the Town has prepared a Full Environmental Assessment Form (FEAF) regarding the proposed Local Laws, which FEAF analyzes the potential environmental impacts regarding said Local Laws; and WHEREAS, the Town Board has reviewed the Local Laws and the Full Environmental Assessment Form; NOW, THEREFORE, BE IT RESOLVED, that the Town Board of the Town of Wappinger hereby adopts the attached Negative Declaration, for the reasons stated therein, thereby finding MAP FOR THE PURPOSE OF REZONING A PROPERTY TO THE R- have no significant adverse impact upon the environment, and thereby ending the SEQRA process with respect to said Local Law. RESOLUTION: 2022-6 Resolution Designating Various Banks As The Official Depositories For The Town Of Wappinger Town of Wappinger Page 6 Printed 1/20/2022 Reorganization MeetingMinutesJanuary 10, 2022 BE IT RESOLVED, that the banks listed below, all located and authorized to do depositories of the Town of Wappinger: Putnam County Savings Bank M&T Bank Tompkins Mahopac Bank Rhinebeck Bank Citizens Bank TD Bank North JP Morgan Chase Trustco Bank Ulster Savings Bank ; and BE IT FURTHER RESOLVED, that until further order of the Town Board of the Town of Wappinger, the maximum amount that may be kept on deposit at the aforementioned Banks at any one time is Five Million Dollars ($5,000,000.00); and BE IT FURTHER RESOLVED, that the Town Supervisor of the Town of Wappinger is hereby authorized to execute and deliver all security and custody agreements relating to the pledge of collateral by the Bank as security for the deposit of public funds by, and the investment of public funds of, the Town of Wappinger government and the custody of such collateral and investments all in such form as may be approved by any such officers, such approval to be evidence of the execution of any such agreement; and BE IT FURTHER RESOLVED, that the Town of Wappinger is authorized to accept an Eligible Surety Bond as security for the deposit of public funds by the Town of Wappinger, having such terms and conditions as shall be approved by resolution of the Town of Wappinger or as set forth in the investment policy adopted by the Town of Wappinger; and BE IT FURTHER RESOLVED, that the Banks are hereby appointed as an agent of and custodian for the Town of Wappinger to hold collateral pledged by the Banks as security for deposits of public funds by the Town of Wappinger and to hold investments of the Town; and BE IT FURTHER RESOLVED, that the following officers of the Town of Wappinger be and hereby are, and each of them hereby is, authorized to open accounts or otherwise to conduct business with the aforementioned Banks and to deposit any of the funds of the Town of Wappinger in the Banks either at its head office or at any of its branches: Town Supervisor Town Clerk Receiver of Taxes Justices of the Justice Court Such officers are also authorized to give any and all instructions to charge accounts of the Town of Wappinger which they have opened with the aforementioned Banks. Any one or more of these officers are also authorized to enter into agreements with the Banks with respect to products or services relating to the accounts or other Bank services, including, but not limited to, wire and other funds transfers products, night deposits, safe deposit boxes and direct deposit of payroll, in whatever form as may be approved by that officer; and BE IT FURTHER RESOLVED, that the Banks are hereby authorized to pay any such check, authorization, letter, or other instrument, order or item or execute any such instructions or effect any such withdrawal, transfer or charge and also to receive the same from the payee or any other holder without inquiry as to the circumstances of issues, withdrawal, transfer or charge or the disposition of the proceeds, even if drawn to the individual order of or paid to any signing person, or payable to the Banks or others for his or her account, or tendered in payment of his or her individual obligation, and whether drawn against an account in the name of the Town of Wappinger or in the name of any officer or agent of the Town of Wappinger as such, and, at the option of the Banks, even if the account shall not be in credit to the full amount of such instrument, withdrawal, transfer or charge; and BE IT FURTHER RESOLVED, that the Banks, as designated depository of the Town of Wappinger, be and hereby are requested, authorized and directed to honor all checks, authorizations, letters, or other instruments, orders, items or instructions for the payment or transfer of money when made, signed, drawn, accepted, endorsed or given in the Town of Wappinger name on its account(s) (including but not limited to those drawn to the individual order of or paid to any person or persons whose name or names thereon as signor or signers thereof or who deliver such instructions) when bearing or purporting to bear the facsimile signature(s) of any one of the following: Town Supervisor Town Clerk Receiver of Taxes Justices of the Justice Court and the Banks shall be entitled to honor and to charge the Town of Wappinger for all such checks, authorizations, letters, or other instruments, orders, items or instructions regarding the payment or transfer of money, regardless of by whom or by what means the actual or purported facsimile signature or signatures thereon may have been affixed thereto if such facsimile signature or signatures resemble the facsimile specimens from time to time filed with the Banks by the recording officer or other officer of the Town of Wappinger; and BE IT FURTHER RESOLVED, that the Town Supervisor of the Town of Wappinger is authorized to open one or more accounts with the Banks for the provision of investment advisory, custodial and other investment services on behalf of the Town of Wappinger (the Wappinger with respect to the Account; and BE IT FURTHER RESOLVED, that the following officers of the Town of Wappinger are authorized to instruct the Banks, in writing, orally, electronically or by means of telex, TWX, facsimile transmission, bank wire or other teleprocess, regarding any notices, instructions or requests made by the Town of Wappinger in accordance with any security agreement with the Banks, and the establishment, modification or replacement of investment objectives for the Account, the purchase, sale, transfer or other disposition of funds or property held in the Account, the transfer of funds or property into the Account, and any other matters concerning the Account: Town Supervisor Town of Wappinger Page 8 Printed 1/20/2022 Reorganization MeetingMinutesJanuary 10, 2022 Town Clerk Receiver of Taxes Justices of the Justice Court ; and BE IT FURTHER RESOLVED, that the Town of Wappinger be and hereby is authorized to certify to the Banks the names of the present officers of the Town of Wappinger and other persons authorized to sign for it (including but not limited to persons to whom such officers or authorized persons have delegated their authority) and the offices respectively held by them, if any, together with specimens of their signatures, and in case of any change of authorized persons or of any holder of any such office or holders of any such officers, the fact of such change and the name of any new officers and the offices respectively held by them, if any, together with specimens of their signatures; and the Banks be and are hereby authorized to honor any checks, notes, drafts, bills of exchange, acceptances, undertakings, authorizations, letters, or other instruments, orders, items or instructions or agreements or other documents signed by any new officer or officers in respect of whom it has received any such certificate or certificates or by any such person with the same force and effect as if said officer or said officers or person were named in the foregoing resolutions; and BE IT FURTHER RESOLVED, that the Banks be promptly notified in writing by the Town of Wappinger Clerk of any change in these resolutions, such notice to be given to each office of the Banks in which any account of the Town of Wappinger may be maintained or from which any product or service affected by such change is provided to the Town of Wappinger, and that until it has actually so received such notice in writing it is authorized to act in pursuance of these resolutions, and that until it has actually received such notice and has had a reasonable opportunity to act upon such notice, it shall be indemnified and saved harmless from any loss suffered, claim or liability incurred by it in continuing to act in pursuance of these resolutions, even though these resolutions may have been changed; and BE IT FURTHER RESOLVED, that the Town Clerk be, and is hereby directed to give notice of adoption of this Resolution to each of the aforementioned banking institutions. RESOLUTION: 2022-7 Resolution Establishing Petty Cash Funds For Various Offices Town of Wappinger Page 9 Printed 1/20/2022 Reorganization MeetingMinutesJanuary 10, 2022 WHEREAS, pursuant to Town Law §64 (1-a), the Town Board is authorized to establish petty cash funds for any Town officer, head of a department or office in the Town, for payment, in advance of audit, of a properly itemized or certified bill for materials, supplies or services furnished to the Town for the conduct of its affairs and upon such terms as set forth in Town Law § 64 (1-a); now, therefore BE IT RESOLVED, that the Town Supervisor, Town Justice Court, and the Town Recreation Department are hereby authorized and directed to establish a petty cash fund, in a sum not to exceed Five Hundred Dollars ($500.00) for each such petty cash fund; and BE IT FURTHER RESOLVED, that the Town Receiver of Taxes is authorized to open a petty cash fund in a sum not to exceed One Thousand Dollars ($1,000.00); and BE IT FURTHER RESOLVED, that the Town Clerk is authorized to open a petty cash fund in a sum not to exceed One Hundred Fifty Dollars ($150.00); and BE IT FURTHER RESOLVED, that all such disbursements made from petty cash funds and the audit of such funds shall be made in accordance with the express provisions, terms and conditions of Town Law § 64 (1-a). RESOLUTION: 2022-10 Resolution Authorizing The Use Of A Mechanical Check Signing Device BE IT RESOLVED, that the voucher order checks of the Town of Wappinger may be signed with a facsimile signature of the Supervisor of the Town or, in the absence or unavailability of the Supervisor, the facsimile signature of the Deputy Supervisor, as reproduced by a mechanical check-signing device or machine provided that the safeguards specified by the manufacturer and inherent in the operations of such device are properly observed; and BE IT FURTHER RESOLVED, that the Town Clerk shall file a certified copy of this Resolution with all banking institutions which are depositories of the monies and funds of the Town of Wappinger as soon as practicable after the adoption of this Resolution, for the purpose of indicating authority for the use of such facsimile signature; and BE IT FURTHER RESOLVED, that the Supervisor or Deputy Supervisor of the Town of Wappinger be and is hereby authorized and empowered to take all steps which may be necessary and proper to acquire a mechanical check-signing devise for use in conformity with this Resolution. RESOLUTION: 2022-11 Resolution Designating The Time And Place For Holding Town Board Meetings For The Calendar Year 2022 BE IT RESOLVED, that the Regular Monthly Meetings of the Town Board of the Town of Wappinger shall be held at 7:00 PM, at the Town Hall, 20 Middlebush Road, in the Town of ndth Wappinger, Dutchess County, New York, in the evening of the second (2) and fourth (4) Monday of each month, or at such other place or time within the Town of Wappinger as the Town Board shall from time to time designate; and BE IT FURTHER RESOLVED, that when a regularly scheduled Town Board meeting occurs on a holiday, the meeting will be held on the following Tuesday, or at such other time as the Town Board shall designate; and BE IT FURTHER RESOLVED, that the meetings of the Town Board, including any adjourned or rescheduled meetings shall be posted in Town Hall on the Town bulletin board and on the Town website. Standard Terms and Conditions for Subsurface Drilling and Geotechnical Engineering Services SCOPE OF WORK: QC/QA Laboratories (QCQA) shall perform services in accordance with an Agreement made with Client. The Agreement consists of QCQA's Proposal and these Standard Terms and Conditions. The scope of work, costs and time schedules, if any, defined in the Proposal are based on information provided by Client and shall be subject to the provisions of this Agreement. If this information is incomplete or inaccurate, or if Client directs change to the scope of work established by the Proposal, a written amendment to the Agreement equitably adjusting the costs and time schedules shall be executed by Client and QCQA as soon as practicable. Client is defined as the person or entity requesting and/or authorizing the work, and in so doing, Client represents and warrants that he/she is duly authorized in this role. The acceptance of QCQA's Proposal signifies the acceptance of the terms of this Agreement. Professional engineering services provided under this agreement shall be subcontracted to Quality Geo Engineering, P.C. INVOICES: QCQA shall submit invoices weekly and/or on completion of work for services performed and expenses incurred and not previously billed. Payment is due upon Client's receipt of the invoice, and is past due thirty (30) days from the date shown on the invoice. Client agrees to pay a service charge of one and one-half percent (1.5%) per month on all past due amounts. STANDARD OF CARE: QCQA will perform its services under this Agreement in conformance with the care and skill ordinarily exercised by reputable members of the profession practicing under similar conditions at the same time. No other warranty of any kind, expressed or implied, in fact or by law, is made or intended. In accepting reports of observations, tests, and opinions provided pursuant to this Agreement, the Client acknowledges that the extent of QCQA's obligation with respect thereto is limited to furnishing of such data, which shall not be solely relied upon by others as acceptance of any construction work, nor shall it relieve the contractor in any way from his obligations and responsibilities under the construction contract to conduct the work in conformance with the project plans and specifications. The Client recognizes that subsurface conditions may vary from those encountered at the location where borings, surveys, or explorations are made by QCQA and that the data, interpretations and recommendations of QCQA are based soley on the information available to it. QCQA will be responsible for only the data furnished by it, but shall not be responsible for the Interpretation by others of the information developed. The Client agrees to indemnify and hold QCQA harmless from and against all claims, damages, losses, and expenses arising from the interpretation by others and data provided by QCQA. SAFETY AND RIGHT OF ENTRY: It is understood and agreed that, with respect to Project site health and safety, QCQA is responsible solely for the safe conduct of its personnel in the performance of their duties. It is expressly agreed that QCQA has no responsibility for the protection and safety of any other persons on and about the Project site. The Client will provide for right of entry of the employees, agents or subcontrators of QCQA and all necessary equipment, in order to perform and complete the work, which is the subject of this agreement. While QCQA will take all reasonable precautions to minimize any damage to the property, the Client understands and agrees that in the normal course of work some damage may occur, the correction of which is not part of this agreement. HAZARDOUS WASTES: The client shall advise QCQA of any hazardous wastes or hazardous substances existing at or near the site at which QCQA is to perform work. If QCQA discovers hazardous wastes or hazardous substances after it undertakes a project, or if QCQA discovers the nature or extent of hazardous wastes or hazardous substances differs materially from what the Client advised QCQA, the Client and QCQA agree that the scope of services, schedule, and estimated fee budget shall be adjusted as needed to complete the work. If reportable quantities of petroleum product and/or chemical contamination are discovered on the project site during performance of the work tasks described herein, or during any subsequent work completed at the project site, the appropriate local, state, and/or federal agencies will be notified immediately, as required by law. The ownership of and responsibility for all contaminated materials, hazardous materials, and hazardous substances generated, released, uncovered, transported, and/or collected during the work tasks referred to herein will remain with the Client. DELAYS: QCQA shall not be considered in default under this Agreement if its performance is prevented or delayed by any cause which is beyond its reasonable control. Further, Client understands and agrees to pay all reasonable charges associated with any delays, cancellations, rescheduling or other activities that may alter time schedules and anticipated costs and that are beyond the reasonable control of QCQA. OWNERSHIP OF DOCUMENTS: All reports, boring logs, field data, field notes, laboratory test data, calculations, and other doucments prepared by QCQA as instruments of service shall remian the property of QCQA. The Client agrees that all reports and other work furnished to the Client or its agents, which is not paid for, will be returned to QCQA upon demand and will not be used by the Client for any purpose whatsoever. QCQA will retain all pertinent records relating to the services performed for a period of five years following submission of the report, during which period the records will be made avbailable to the Client at all reasonable times upon request and for the cost of reproduction. The Client and QCQA agree that reuse of documents on extensions of the project or any other project by either party is prohibited without permission. SAMPLE RETENTION: QCQA will retain all soil and rock samples for 60 days after submission of test reports to the Client. Further storage or transfer of samples will be made upon written request at the Client's expense. SUBPOENAS OR COURT ORDERS: If any subpoena or court order is served upon QCQA and/or any of its staff, subconsultants or subcontractors requiring the presentation of documents or appearance at a deposition or trial, or for other discovery purposes, arising out of services provided under this Agreement, Client shall pay the charges applicable to QCQA's compliance with the subpoena or court order. Charges will accrue on an actual time and related expense basis in accordance with the standard rates in effect at the time of service upon QCQA of the subpoena or court order. Invoices will include time and expenses incurred gathering, organizing and duplicating documents, preparing to give testimony, travel and testifying in deposition or trial. UTILITIES: The Client will provide to QCQA documentation setting forth the location and depth of all underground utilities or structures. In the prosecution of its work, QCQA will take all reasonable precautions to avoid damage or injury to underground structures or utilities. The Client agrees to hold harmless, indemnify and defend QCQA from any and all loss, cost, expense claim, damage or liability resulting from subsurface conditions which are unforseen, not called to QCQA's attention or correctly shown on the plans furnished by or on behalf of the owner. LIMITATION OF LIABILITY: The liability of QCQA for any reason whatsoever arising under or relating to this Agreement will not exceed in the aggregate $50,000 or the amount of the fee actually received by QCQA, whichever is greater. In addition, in no event will QCQA be liable for any claim or demand by Client, or against Client by any third party, in or for any amounts representing loss of profit, loss of business, delay damages or special, indirect, incidental, consequential, exemplary or punitive damages. The provisions of this paragraph shall apply regardless of the form of the cause of action, whether in contract, tort (including without limitation, negligence), statute or otherwise. INDEMNIFICATION: If any claim, suit or legal action arising out of the services under this Agreement is asserted against QCQA, its respective shareholders, directors, officers, consultants, agents or employees, by a person or entity who is not a party to this Agreement, Client agrees to indemnify, hold harmless, protect and defend QCQA from and against any such claim, suit or legal action, and any and all loss, liability, damage, costs and expenses associated therewith, except to the extent that the event and/or damages giving rise to such claim, suit or legal action is found to have been caused by the negligence of QCQA. The Client's obligation hereunder includes, but is not limited to, the payment of attorney's fees, court costs, and expert and consulting expenses required for the proper and vigorous defense of QCQA. INSURANCE: QCQA represents and warrants that it, together with its agents and staff, are protected by worker's compensation insurance, and that QCQA has such coverage under public liability and property damage insurance policies that QCQA deems to be adequate. Certificates for any such policies of insurance will be provided to the Client upon written request. The Client recognizes that QCQA's insurance policies contain certain exclusions, including those for certain claims arising from the discharge, dispersal, release or escape of pollutants. The Client agrees to defend, indemnify, and hold QCQA and its employees or agents harmless for and against all claims, causes of action, suits, proceedings, damages, losses, and expenses, including third party claims or actions, arising from QCQA's work for the Client under this Agreement that falls within the scope of any exclusion from QCQA's liability or property damage insurance policies. NO THIRD PARTY BENEFICIARIES: Nothing in this Agreement shall create a contractual relationship with, or cause of action in favor of, a third party against Client or QCQA. DISPUTE RESOLUTION: All claims, disputes, controversies or matters in question arising out of, or relating to, this Agreement or any breach thereof which cannot be resolved through negotiation shall be submitted to mediation before and as a condition precedent to any other remedy. Upon written request by either party to this Agreement for mediation of any dispute, Client and QCQA shall select by mutual agreement a neutral mediator. If the dispute cannot be settled through mediation, then such dispute shall be decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association (AAA) then in effect. The award rendered, if any, by the arbitrator(s) shall be final and binding on both parties and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction. Each party involved in the arbitration process shall pay all its own arbitration fees and costs to the AAA and shall share equally in the fees charged by the arbitrator(s). All mediation or arbitration shall take place in Albany, NY unless Client and QCQA agree otherwise. TERMINATION: This Agreement may be terminated by either party upon at least seven (7) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof. Such termination shall not be effective if that substantial failure has been remedied before expiration of the period specified in the written notice. In the event of termination, QCQA shall be paid for services performed prior to the termination date set forth in the notice plus reasonable termination expenses.
