WHEREAS, the Town of Wappinger, after due consideration, has determined that it is desirable and in the
public interest to undertake the necessary activities for the submittal of a grant application under the
2025 OPRHP Environmental Protection Fund (EPF) Grant Program for funding toward the "Carnwath
Manor Feasibility Study and Preliminary Engineering Project"; and
WHEREAS, the Environmental Protection Fund (EPF) Program grant request will not exceed the
maximum request of $675,000 of eligible project costs to complete the project; and
WHEREAS, the Town Board is hereby committed to identifying municipal or other leveraged funds to
provide a local cash match of at least fifty percent (50%) of the total project cost under the OPRHP
Environmental Protection Fund (EPF) Grant Program;
NOW THEREFORE BE IT RESOLVED, that the Town Board authorizes and directs the Town Supervisor to
submit an application to the NYS OPRHP Environmental Protection Fund (EPF) Grant Program for the
"Carnwath Manor Feasibility Study and Preliminary Engineering Project" and to execute all documents
necessary for the implementation of this work relating to the financial and/or administrative processes
of the grant program; and
BE IT FURTHER RESOLVED, upon notice of award by the State, the Treasurer of the Town of Wappinger is
hereby authorized and directed to establish a Capital Account in an amount which represents the local
share of the project not grant funded; and
BE IT FURTHER RESOLVED, to the extent all or any actions hereby authorized have been executed and/or
performed by the Supervisor, all are hereby ratified and confirmed and this Resolution take effect
immediately.

I am writing to express my strong support for the Town of Wappinger's application for funding through the
Environmental Protection Fund (EPF) Grant Program to conduct the Carnwath Manor Feasibility Study and
Preliminary Engineering Project. This initiative is a crucial step toward preserving and restoring one of
Dutchess County's most historically significant structures, located at the Carnwath Farms Historic Site & Park.
Constructed in 1850, Carnwath Manor is a remarkable testament to our region's rich cultural and architectural
heritage. However, years of deferred maintenance have left the building in a state of serious disrepair. A recent
engineering assessment identified several urgent issues, including structural instability, water damage, a
partially collapsed foundation, and the immediate need for a new roof.
The proposed feasibility study and preliminary engineering work are essential for stabilizing the structure,
developing a sustainable restoration plan, and ensuring robust public engagement throughout the process. With
the proper investment and planning, Carnwath Manor can be transformed into a vibrant cultural and recreational
hub for the Town of Wappinger and the broader Hudson Valley region.
The Town of Wappinger has shown clear leadership and commitment in its efforts to revitalize the Carnwath
Farms Historic Site & Park. I commend their vision and urge full consideration of their grant application. This
project will not only preserve an irreplaceable historic landmark but will also foster community pride, boost
tourism, and strengthen our regional identity.

Please accept this letter as evidence of my strong support for the Town of Wappinger's 2025 EPF
grant application for the Carnwath Manor Feasibility Study and Preliminary Engineering Project.
This is an exceptional opportunity for the Town to advance the preservation and utilization of this
significant historical structure.
Since 1999, Wappinger has maintained an unwavering commitment toward revitalizing Carnwath
Farms Historic Site & Park to its former glory, transforming it from a diamond in the rough to a
gleaming regional gem. Much of this goal has already been realized. This majestic Victorian -era
parcel now operates as a 99 -acre public park, serving as Wappinger's premier destination for arts,
culture, history, activities and leisure. Park amenities include the Reese Cultural Center; the Sports
Museum of Dutchess County; Carnwath Community Farming; and a three-mile trail network with
breathtaking views of the Hudson River and surrounding countryside. This park is situated in the
Wheeler Hill Historic District, which is listed on the National Register of Historic Places. It is also a
participating location on the Dutchess Tourism Zen Finder Outdoor Experience Trail, featuring some
of the best trails, activities and scenery in a curated itinerary of outdoor destinations.
However, the Carnwath Manor building on site, built in 1850, remains a boarded -up eyesore
languishing in worsening deterioration. A structural walkthrough conducted by a professional
engineer cited critical concerns including, but not limited to: significant water damage and rot,
collapsed wood floors, a partially collapsed foundation wall, and the need for a new permanent roof.
The report noted that the building can still be salvaged if remedial action is taken.
The potential for this storied facility is vast, in tandem with the array of vibrant programs and
resources the park provides. Through the EPF Grant Program, the Town is seeking necessary funding
to conduct a comprehensive feasibility study and the development of initial phase one engineering
plans for the stabilization and rehabilitation of Carnwath Manor, incorporating public input
throughout the process to determine the best course of action for everyone's benefit.
I wholeheartedly support this vital project to begin the reclamation process of Carnwath Manor for

Rules and Regulations for The Rental of Town of Wappinger Parks/Facilities
• Parks and Facilities can be reserved up to one year in advance of an event.
• Parks and Facilities cannot be reserved less than two weeks before an event.
• Beer/Wine can only be served with special permission from the Town of Wappinger
• If Beer/Wine will be served at the event, insurance and payment must be submitted at the time of
reservation to hold the date. Rental Applicants must provide to the Town of Wappinger, a Certificate of
Insurance, which indicates a current Commercial General Liability policy is in force, with the renter as
the first name insured written with an insurance company with an A.M. Best's rating of "A" or better. The
occurrence limit must indicate a limit not less than $1,000,000.00. Town of Wappinger is to be listed as
additional insured on a primary, non-contributory basis. No approval is granted or implied unless and
until all requirements as outlined above has been submitted to, received and accepted by the Town of
Wappinger.
• The Town of Wappinger also requires the above described insurance coverage be provided for rentals
made by commercial and non-profit organizations, events that will have outside vendors preparing food
on site, and any event that will have vendor booths. The Town of Wappinger reserves the right to request
proof of insurance for any event based on the guidance of our insurance carrier and legal counsel.
• Refunds can only be given up to two weeks before the scheduled event. After that, no refunds are
permitted.
• No refunds will be given due to inclement weather
• Permit Holder is responsible for all clean up after the event.
• Permit Holder agrees to maintain control and supervise all persons in attendance at the event
• Decorations/signs cannot be placed over existing facility signs posting rules and regulations or traffic
signs. Decorations/signs cannot be attached to any trees or structures using staples or nails
• Signs, balloons, and other decorations must be taken down after the event.
• Motorbikes, ATV's and other motorized vehicle are not permitted on Town Properties.
• No Smoking is allowed in Town of Wappinger Parks or Facilities.
• Renters may bring BBQ grills for personal use.
• Grills may not be used underneath Town Pavilions.
The Town of Wappinger Reserves the Right to cancel for cause any event at any time, including one
in progress. Failure to comply with any of these rules and regulations may result in the revocation
of the permit and the denial of future permits.

EMPLOYEE -RELATED FOIL POLICY

PURPOSE
In accordance with NY Public Officers Law §87(6), the Town Board hereby adopts this policy,
which shall govern in instances that a request is received by the Town for Employee disciplinary records.
When necessary, this policy may be revisited to determine whether changes to it should be made. After
such a determination, the Town Board may amend this policy for whatever reason.
DEFINITIONS
"Employee" shall mean an individual currently or previously appointed for employment by the
Town Board. This definition shall not include elected officials or Town Officers.
"Freedom of Information Law" ("FOIL") shall mean any request for information received pursuant
to NY Public Officers Law §84, et seq.
"Response" shall mean the final submission made to the requestor of documents under FOIL. This
shall include an initial response and the response to any potential appeal.
APPLICABILITY
In the event the Town receives a request for documents that pertains to an employee, this policy
will govern the notification to be sent to said employee regarding the same. In the event that a negotiated
procedure exists within a collective bargaining agreement, that procedure will control.
POLICY
Upon the receipt of a request for employee disciplinary records, the Town will notify the affected
employee, in writing, of the request as soon as administratively feasible. In the event that request is made
by the at -issue employee for their own records, notification will not be provided under this policy. As
FOIL requires responses to be made within a certain time frame, a response may need to be issued before
the employee is notified of the request. If a response has already been issued before the employee is
notified of the request, they will be informed of that fact within the notification.
Any notification issued under this policy will be in writing and delivered to the employee either
personally or by certified mail.' In the event that the employee the request pertains to is no longer
employed by the Town, reasonable efforts will be made to notify the former employee in the manner
referenced above or through other reasonable means.
FOIL requires the Town to engage in a specific analysis of whether documents are to be released
under the obligations contained within the statutory guidelines. Given the statutory mandates imposed on
the Town, an employee will not be in a position to object to the release of documents. Although an

employee will not be afforded an opportunity to object to the release of documents involving them, all
responses to a request will be provided to the employee upon written request. Additionally, the Town will

Policy Relating to Nursing Mothers Expressing Breast Milk in the
Workplace

Section 1: Policy
In accordance with NY Labor Law §206-c (and to some extent the federal PUMP Act), it
is the policy of the Town of Wappinger (the "Town") to provide employees of the Town that are
nursing mothers with paid break time to express breast milk when they have a reasonable need to
do so. Eligible employees will also be provided with a private room or location during the eligible
period upon written request. This policy will enumerate the eligibility requirements for paid leave
time for a qualifying purpose, the benefits provided, and the applicable procedures that are to be
utilized when requesting use of the rights discussed herein.
Section 2: Eligibility
An employee of the Town, who during the period of the applicable request is nursing their
child, will be eligible for the benefits provided under this policy regardless of date of hire or
employment classification. Eligibility under this policy extends for three -years from the date of
birth of the nursing child.
Section 3: Benefits Provided
When providing these benefits does not impose an undue hardship for the Town (in which
case reasonable efforts will be made to seek an alternative), this policy provides eligible employees
the following benefits:
1) Thirty (30) minutes of paid break time while on duty with the Town to express breast
milk for their nursing child each time the employee has a reasonable need to express
breast milk. Employees will also be permitted to use other available paid break or meal
time for time needed in excess of the thirty minute break time provided by this policy.
Employees shall not be required to make up the break time that was utilized as a result
of expressing breast milk.
2) An employer -designated private room or location to utilize for the purpose of
expressing breast milk in the workplace. The room or private location will be
designated at the time of the request. The room shall not be a restroom or toilet stall.
The room or private location chosen will be:
• Well lit;
• In close proximity to the employee's work area;
• When possible, accessible through a door that can be locked by the employee;
• Shielded from view; and

• Free from intrusion from other individuals in the workplace.
3) Amenities provided in the private room or location will include, at least:
• A chair;
• A working surface;
• When the location or room used has windows, curtains or blinds;
• Nearby access to clean running water; and
• If the workplace of the employee is supplied with electricity, an electrical outlet.
4) If refrigeration is available, the employee will be provided access to refrigeration for
storage of expressed breast milk. Stored breast milk must be contained in closed
containers and brought home each night.
Section 4: Procedure
Employees who are interested in exercising their rights conferred by this policy and
applicable law must provide an advanced written request. The following procedures are to be
utilized when making a request to utilize the rights enumerated under this policy.
1) An employee seeking paid break time for the purpose of expressing breast milk for
their nursing child must make a written request to Human Resources that notifies the
Town of the need for break time during the eligible period. Such request should be
provided as soon as possible, preferably before the return of the nursing employee from
any leave time that was taken for the birth of the nursing child. The request should also
enumerate the date the employee will need to begin taking break time to express breast
milk.
2) The request will be responded to by the Town within five business days. In the response,
the employee will be notified of the private room or location designated by the
employer to be used for expression of breast milk. When determining the room or
private location to be designated, the requirements of the statute will be taken into
account, as well as the operational needs of the Town. The Town will strive to designate
a private room as the location to express breast milk, however it is not guaranteed one
will be available. If needed, a private area or cubicle (of seven feet in height with a
partition to enclose it) may be utilized. A private room may include a common room
that may be used for such break time by locking the door or limiting access of others
(by the Town notifying them and posting signs when being used for this purpose) to
that room while the employee is expressing breast milk. Should multiple employees
seek a location to express breast milk during the same period, the same location may
be utilized for both individuals to share at alternating times.
3) If a private room is not available at the time of the request, a designated private location
will be utilized and reasonable alterations to the area will be made in an attempt to
create additional privacy. In the event the location is at risk of being accessed by other
individuals, signs will be prepared to notify third parties that they are not to enter that
area when the sign is posted. Other employees will also be informed that a common
area is being utilized for the purpose of expressing breast milk and they will be notified
they are not to enter the designated area when signs are visible.
4) Should an employee wish for an alternate location or room, they may submit a written
request for an alternative location that explains the reason for the request to Human

Resources. The Town will then notify the employee whether their request is granted or
whether the originally designated location will be utilized and if there are any
alterations that will be made to the location.
Section 5: Non -Discrimination or Retaliation
Employees that make use of this policy shall not be discriminated against or retaliated
against because of the exercise of their rights provided herein. Any employee who believes they
are being discriminated against or retaliated against for the use of this policy should report the
actions giving rise to such allegations to Human Resources, the employee's immediate supervisor,
or the Town Supervisor. Such complaints will be investigated in accordance with the Town's
policies.
Section 7: Notice
This policy shall be provided to every employee upon hire, upon their return from leave
due to childbirth, and annually.
Section 6: Conclusion
The rights discussed in this policy are available based on the eligibility requirements listed
above. Employees who are in need of an area to express breast milk for their nursing child are
encouraged to utilize this policy.

THE SECOND AMENDMENT TO LAND LEASE AGREEMENT
This Second Amendment to Land Lease Agreement (this "Amendment") is made effective as of the latter
signature date hereof (the "Effective Date") by and between Town of Wappinger NY ("Landlord") and ACC
Tower Sub, LLC, a Delaware limited liability company ("Tenant") (Landlord and Tenant being collectively
referred to herein as the "Parties").
RECITALS
WHEREAS, Landlord owns the real property described on Exhibit A attached hereto and by this reference
made a part hereof (the "Parent Parcel"); and
WHEREAS, Landlord (or its predecessor -in -interest) and Tenant (or its predecessor -in -interest) entered into
that certain Land Lease Agreement dated March 24, 2000 (the "Original Lease") as amended by that certain
First Amendment to the Land Lease Agreement dated February 4, 2019 (the "First Amendment") (collectively,
the "Lease"), pursuant to which the Tenant leases a portion of the Parent Parcel and is the beneficiary of
certain easements for access and public utilities, all as more particularly described in the Lease (such portion
of the Parent Parcel so leased along with such portion of the Parent Parcel so affected, collectively, the
"Leased Premises"), which Leased Premises are also described on Exhibit A; and
WHEREAS, Landlord and Tenant desire to amend the terms of the Lease and to otherwise modify the Lease o

Dollars ($2,500.00) per month (the "Rent'). Commencing on March 24, 2026 and on each successive N
annual anniversary thereof, Rent due under the Lease, as amended hereby, shall increase by an amount N
equal to two percent (2%) of the then current Rent. In the event of any overpayment of Rent prior to or
after the Effective Date, Tenant shall have the right to deduct from any future Rent payments an amount
equal to the overpayment amount. Notwithstanding anything to the contrary contained in the Lease, all
Rent and any other payments expressly required to be paid by Tenant to Landlord under the Lease and
this Amendment shall be paid to Town of Wappinger NY. The escalations in this Section shall be the only
escalations to the Rent and any/all rental escalations otherwise contained in the Lease are hereby null
and void and are of no further force and effect.
3. Counterparts. This Amendment may be executed in multiple counterparts, each of which when so
executed and delivered, shall be deemed an original and all of which, when taken together, shall constitute
one and the same instrument.

4. Conflict/Capitalized Terms. The Parties hereby acknowledge and agree that in the event of a conflict
between the terms and provisions of this Amendment and those contained in the Lease, the terms and

Landlord is duly organized, validly existing, and in good standing in the jurisdiction of its formation,
organization, and/or incorporation, as applicable, and is otherwise authorized to transact business and
in good standing in any other jurisdictions where such qualifications are required. Landlord has full
power and authority to enter into and perform Landlord's obligations under the Amendment and the
other Transaction Documents (as hereinafter defined), and the Amendment and the other Transaction
Documents have been duly executed and delivered by Landlord. The Affiants listed below are the only
legal and equitable owners of Landlord and are the only members, partners, directors, shareholders,
officers and/or trustees, as applicable, of Landlord.
4. The Affiants hereby approve of the Transaction Documents and all of the terms and provisions
contained therein and declare, resolve and/or affirm, as applicable, that Landlord is hereby authorized
to enter into the Transaction Documents with Tenant and effect the transactions contemplated
therein. The Affiants hereby declare and affirm that any other corporate and shareholder, member,

partner, and/or trustee actions required to effectuate the transactions contemplated in the
Amendment and other Transaction Documents have been completed.
5. The Affiants also declare that they have full legal authority to bind Landlord under the laws of the
State or Commonwealth in which the Leased Premises (as defined in the Amendment) is located, and
Affiants have the full authority to execute any and all of the Transaction Documents on behalf of
Landlord and to nominate individuals to act on Landlord's behalf.
6. The Affiants hereby nominate the below listed individual (the "Nominee") as attorney-in-fact to
execute and deliver the Amendment, together with any other documents and agreements, including,
without limitation, the Memorandum (as defined in the Amendment), required to be executed and
delivered pursuant to the terms and provisions of the Amendment (the Amendment and all of such
other aforementioned agreements and documents, collectively, the "Transaction Documents"), on
behalf of Affiants and Landlord. The Nominee shall have full power and authority to act on behalf of
Affiants and on behalf of Landlord for purposes of executing and delivering the Transaction
Documents and ensuring that Landlord fulfills its obligations thereunder. Additionally, the Nominee
shall have full authority to direct the manner in which all payments made by Tenant pursuant to the
Amendment are to be made to Landlord, including, without limitation, identifying which bank
account(s) to transfer funds to in the event a wire payment is made by Tenant.
