Gentlemen:
This proposal regarding street lighting in the Chelsea Lighting Distric
is su'bm1 tted to the Town of WappinSer (hereinafter called the Town) by Central
Hudson Gas & Electric Corporation (hereinafter called the COIIlp8I1J").
A. Services Supplied and Rates
The Cem:pa.ny will turD1sh the 8enices and equipaent described in
this section at the rates stated herein.
1. Electric Energy.
The Cc::lIDlp&nY shall supply all electric energy used for street lighting
for
(i) An energy charge of $.012' per Kilowatt hour, and
(ii) A fuel adJustment of $.0001 per Kilowatt hour for each
full $.~ increase in the price per net ton (2000 pound)
of bituminous coal, f.o.b. Poughkeepsie, B. Y., above
$5.1' per net ton at the beginning of the month for
which the bill is rendered.
The quantity of energy used sball be cOlllputed by DlUl-
tiplying the manufacturer's average or n01'm&l wattage rating
of J..am;ps installed (including the wattage of mercury lamp
ballasts) and the number ,of hours they are operated which
sball be considered as 4000 hours per year for all-night
operation.
Monthly usage &ball be considered equivalent to one-twelfth of the
annual usage.
2. Transformers.
The Campa:n.y sball furnish the transformers used to provide current of
the character required for operation of the street lamps for a charge of $.009
per year per watt of the aggregate average wattage rating of the incandescent
lamps installed and of the aggregate no1'!Bl wattage ratine of the mercury lam;ps
installed plus the additional t1'B.D.8former capacity required for their operation,
as specified by the manufacturers.

3. Circuits.
The COJIE1Il!LD.Y shall furnish the circuits required. for operation of the
lamps to be installed in accordance with this agreement, includ1ng wires, in-
sulators, cables, and supporting poles.
Additional overhead circuits required for operation of add! tione.1
lamps shall be installed b1 the CCIIIlpI!U'1Y on company-owned poles at the '!'own' s
request wherever such poles are likewise used, or -1 reasonabl1 be expected to
be subsequent!1 used, for supportins the CCJIIllM!LDJ'"' s distribution s;rstem. If the
poles required to support add! tional overhead circuits will not be used for
supporting the Compan;r's distribution s;rstem., the Com;pe.ny will only imtall such
circui ts where the !own provides and ..intains the npportin8 poles.
Underground clrcui ts for operation of lamps mAl likewise be installed
b,.. the Ccapan;r at the Town's request, but the Compe.DY' shall not be obligated to
provide such circuits without its consent.
The charges for circuits provided b,.. the Caapany shall be the sum of:
(i) $177.00 per ;rear tor the circuits now used in lighting
the streets listed in Schedule II and indicated on the
map designated Schedule III attached to Uis agreement
(reduced in proportion to the length of those streets
lighted b,.. such circuits which _,.. be subsequentl,..
r.oved) ;
(ii) $.035 per year for each toot of streets lighted by fix-
tures supplied directly :trcD overhead circuits subsequent-
ly installed to extend or replace the ex1st1ng circuits;
and
(iii) $.25 per year for each foot of streets lighted b;r tix-
tures supplied direct11 from underground circuits subsequent-
11 installed to extend or replace the ex1st1ng circuits.
4. Fixt1Jres.
a. COIII:.P'-n;r-owned fixtures
The Cca.paD1; shall furnish the fixtures, including standards,
brackets, _st arJIlS, span wires, and other supports, and lighting
un! ts for the lamps to be installed in Ccapar1Y-owned fixtures as
specified in Schedule I at the locatiODB shown in Schedule III;
shall repair them. and replace them when necessary with similar
fixtures (unless the Town elects to install a Town-owned fixture);
and shall provide additional fixtures 01' standard design approved
by the Cam.:pal17 for new street lamps, at the Town's request
wherever the poles supporting such new laps are used, or-7
reasonably be expected to be subsequentl1 used, for supporting
the Company's distribution s;rstem.

The unual charges for providing and maintaining fixtures of
standard type turn1shed by the Ccape.ny for use of incandescent or

It nonstandard fixtures for use of incandescent or m.ercury
lamps or fixtures for other kinds of l.aIII.ps (sodi_, 'lluorescent,
etc.) are subseqwmtly turrlished by the CCIII.Jl&DY, appropriate
charges for the will be established by mutual agreement when
they are installed.
b. Town-owned Fixtures
The Town _y :f'ur.D.ish fixtures either in substitution for
existing COIIlp8.J1Y-owned fixtures or at new locations at the
Town's disoretion. Such Town-owned fixtures shall be repaired
and replaced b1' the Town (unless arrangfllLents are made to sub-
sti tute a Company-owned fixture).
Town-owned fixtures -1' be attached to the Company's poles
forming part of the Cam.pany's distrl bution system when such
attaohment does not interfere with the use of the poles for
operation of the distriblltion s;rat.. The COII.paDY shall not
be obligated, however, to provide poles solel1' to support
Town-owned fixtures or to provide poles for this purpose of
a different character than those generally installed to
support the COJBp8.DY'S distribution wires.
5. Replacement of Leaps and Glassware.
The Com.pany shall replace incandescent or meroury la1II.ps, globes,
retractors and reflectors in all fixtures unless the Town subsequently elects to
make such replac_ents which it _y do at any t1lll.e on three JIOnths' notice to
the C~.

The annual charses for mak1D8 such replacements in standard fixtures

If replacements are made subsequently in nonstandard fixtures or other kinds of
lamps (SOdium, fluorescent, etc.) appropriate cbarses for such replacements will
be established bY' JIlUtual agreaeDi when they are installed.
When replaced by the Ccapany, lamps 1n.stalled sball be replaced at
resuJ.ar intervals not in excess of the rated nol'llal operating life of the lamps
used. When in41v1duallam.ps are reported to the Ccmpany as not 'burning or
globes, refractors and reflectors are reported broken, the CGIIlp8.D.1 shall not be
required to replace them except during a succee4.1ng regularly scheduled work
period of the Caape.ny's employees performing such work. The Town shall use
appropriate measures at all times to mtn11t11 ze malicious breakage of the lamps
and glassware which are r~placed bY' the Ccmpany.
:B. Street Lighting Installation and :Billing.
The number of lamps operated and the monthly cbarses for this installa-
tion are stated in Schedule I attached to this agreement. The particular streets
lighted are shown 1n. Schedule II also attached to this agreement. The location
of the leaps and lighted streets are indicated on the map designated as Schedule
III, likewi8e attached.
The size, number and location of lamps may be chansed at the direction
of the Town at any time during the tem of this agreeent. The circuits and
fixtures to be provided by the CCIIlpany and the extent of the services to be
performed by the CaIlpl!LD1 in replacing lam.ps and glassware _y also be changed
during the term of this agre-.ent at the direction of the Town as provided in
Sections A-3, A-4 and A-5 above. The wattase rating of lam.ps and transfo1"D1er
capacity on which the energy and transfo1W.tion charses are now based will also
be chaneed at the beginning of each cal8Dclar year if any chanSe in the manufac-
turer's rating has occurred duriDS the previous year. The fuel adjustment will
likewise be cbanse4 durine the term of this agreement whenever chanees in the
price of coal occur which ve;ry the amount of the adjustment determined in
accordance with Section A-l( ii) above.

B. Street Lighting Installation and Billing (Continued)
Each monthly bill shall include the charges specified under A for an
entire month based on the 3Am.ps in operation at the 'beginning of the month for
which the bill is rendered, provided that no aclJust.aunt shall be _de in the
monthly circuit charge because of reduction in the length of street then lighted
resulting from seasonal or temporary suspension of operation of any lamp.
C. Terms of Payment.
Bills shall be rendered for each calendar month and shall be paid by
the Town within 30 days from the date rendered.
D. Liability.
The failure of the CcmpaDY to furnish any part of the service or equip-
ment herein contracted for shall not be construed as a breach of contract or
render the Campany liable in damages to the Town if such failure is caused by
reason of accidents, strikes, state or municipal interference, action of the
elements, or other causes beyond the control of the Cam.pany, 'by absence of a
report to the Company of lamps not burning, or by the inability of the Com.pany
to obtain, without . legal proceedings, the necessary consent for the erection of
the poles, wires and other equipment required to furnish the service herein
contem.pla ted.
The Cam.pany shall handle the electricity supplied when in or upon the
cables, lighting fixtures and other facilities owned by the COJIllll!I.DYj care for
and maintain all facilities owned by the CCIII:,P&llY and used for supplying the
serrtce herein contracted forj and replace lamps and glassware periodically or
durins regularly scheduled working hours as provided in Section A-5.
The Town shall handle the electricity supplied when in or upon any
lighting fixtures or other facilities owned by the Townj maintain and operate
such facilitiesj replace Town-owned equipment when necessarYj and replace lamps
and glassware when the Cam.pe.ny does not perform this service.
No person not a party to this contract shall have any claim. against
ei ther parvhereto for any loss or damage arising out of the performance or
nonperformance of the work or services provided for in this equipment, whether
such loss or damage be the result of negligence or any other cause.
E. Term.
One year from September 1, 194.1 and thereafter for succeeding periods
of one year until te:rm.1nated by either party by written notice to the other at
least three months prior to the expiration of any annual period.

F. TerJllination of Previous Contracts.
This agreement includes all arrangements between the Town and the
Company rela tins to street lighting to be effective after the cOJ'Jllll8ncEID.ent of
its term and f'raDl and after such camm.encement it shall supersede and replace all
other contracts and understandings between the parties regarding such lighting,
including the contract stated in the agreeent dated July 11, 1935.
If this proposal m.eets with your approval, please indicate your
acceptance below and return both copies of this agreement to us for our formal
acceptance after which we will return one copy for your records . When thus
accepted by both parties, this agreement shall constitute a contract bindins upon
the parties hereto and their necessors and assigns.
