Gentlemen:
This proposal resarding street lighting in the Rughsonville Lighting
District is submitted to the Town ot Wapp1Deer (hereinafter called the Town)
by CentrallIudson Gas " Electric Corporation (here1naf'ter called the COJD.pany').
A. Services Supplied and Bates
The CClIIlpSZI1' will furnish the services and equipaent described in
this section at the rates stated herein.
1. Electric Energy.
The C~ shall supply all electric enerQ used tor street lightins
tor
(i) An enerQ charge ot $.0125 per Kilowatt hour, and
(ii) A ruel adJustaent ot $.0001 per Kilowatt hour tor each
:run $.25 increase in tb.e price per net ton (2000 pound)
ot bi tum1nous coal, f. o. b. Poughkeepsie, J'. Y., above
$5.15 per net ton at the beginning ot the month tor
which the bill is rendered.
The quantity ot energr used shall be ccaputed by mul-
tiplyins the manufacturer's average or normal wattage rat1J18
ot 1am.ps installed (includ1ng the wattage ot mercury lemp
ballasts) and the number ot hours they are operated which shall
be considered as 4000 hours per year for all-night operation.
Monthl7 usage shall be considered equivalent to one-tweltth ot the
annual usage.
2. Transtormers.
The Caar,pany shall turnish the transtomers used to provide current ot
the character required tor operation ot the street lamps tor a charge ot $.009
per year per watt ot the aggregate average wattage rat ins ot the incandescent
leaps installed and ot the aggregate normal wattage ra tiDS ot the mercury lamps
installed plus the adcl1tional transf01'ller capacity required tor their operation,
as specitied by the manufacturers.

3. Circuits.
!he COIIlp8.lq shall furnish the circuits required for operation of the
lamps to be installed in accordance with this agre.ent includ1ne wires, in-
aulators, cables, and support1ne poles.
Add! tional overhead cireui ts required for operation of additional
lamps shall be installed by the C~ on COJIlp&IJy-owned poles at the Town's
request wherever such poles are likewise used, or may reasonably be expected to
be subsequently used, for supportin8 the COIII.pany's distribution system. If the
poles required to support add1 tional overhead circuits will not be used for
support1ne the Company's distribution system, the Com;pe.ny will only install such
circui ta where the Town provide,s and. maintains the supporting poles.

by the Cc:apany at the Town's request, but the Caar;pany shall not be o'blisated to
provide such circuits without its consent.
!he charges tor circuits provided by the Ccapany shall be the sum ot:
(i) $338.64 per ;year for the circuits now used in lighting
the streets listed in Schedule IT and indicated on the
map designa tea. Schedule In attached to this agreement
(reduced in proportion to the length of those streets
lighted by such cireui ts which _1' be subsequently
removed) j
(11) $.035 per year for each toot ot streets lighted by fix-
tures supplied directly f'rcm overhead circuits subsequent-
ly installed to extend or replace the existing circlli ts;
and
(i11) $.25 per year for each toot of streets lighted by fix-
tures supplied directly from undergrotmd circuits subsequent-
ly installed to extend or replace the enst1ne circuits.
4. Fixtures.
a. Compe,ny-owned fixtures
!he COJIl.P&XlY shall furnish the fixtures, including standards,
brackets, mast arms, span wires, and. other supports, and lighting
units for the lamps to be installed in COIIlpaIly-owned tixtures as
specified in Schedule I at the locations shown in Schedule III;
shall repair them and replace th_ when necessary with similar
fixtures (unless the Town elects to install a Town-owned fixture) j
and shall provide add1 tional tixtures of standard design approved
by the Cc::apa.ny tor new street lamps, at the Town's request
wherever the poles supportine such new lamps are used, or may
reascmably be expected to be subsequently used, tor supporting

b. '!'own-owned Fixtures
The Town lII&1 turnish tixtures either 1n substitution for
en sting COIIlPflJl1"-owned fixtures or at new locations at the
Town's discretion. Such Town-owned fixtures shall be repaired
and replaced b1 the Town (l1I1less arra.ne_ents are _de to sub-
stitute a C~-owned fixture).
Town-owned fixtures JII&7 be attached to the COJI;P&n1' s poles
forming part of the CCIIIpU1Y's distributiQl1:.,.st_ when such
attachJllent does not inter:f'ere with the use of the poles:'for
operation of the distribution syst_. The C~ shall not
be obligated, however, to proVide poles sole17 to support
Town-owned tixtures or to provide poles tor this purpose of
a 41fterent character than those generall1installed to
support the Com.pa:n.y's distribution wires.
5. Beplao_ent of Lamps and Glassware.
The C~ sba1l replaoe incandescent or mercury lamps, glObes,
retractors and reflectors in all fixtures l1I1less the Town subsequently elects to
make such replaoeme.nts which it -1 do at any time on three months' notice to
the COJall&Il7.

If replac-.ents are made subsequentl1" in nonstandard fixtures or other kinds of
lamps (sodium, fluorescent, etc.) appropriate charges for such replacements will
be established by mutual agreeent when they are installed.
When replaced by the CoapI!I.1l1, laaps installed shall be replaced at
regular intervals not in excess of the rated normal operating life of the lamps
used. When 1nd1 Tidual lamps are r,ported to the Cc:apany as not burning or
globes, retractors and reflectors are r,ported broken, the Coapany shall not be
required to replace th_ except during a succeeding regularly sqhedu1.ed work
period of the COJIlp&11yI s _ployees perto1'll.1ng such work. The Town shall use
appropriate measures at all times to a1n11111 ze malicious breakage of the lamps
and glassware which are replaced by the Caape,ny.
B. Street Lighting Installation and Billing.
The number of lemps operated and the monthly charges for this installa-
tion are stated in Schedule I attached to this agre_ent. The particular streets
lighted are shown in Schedule n also attached to this agre_ent. The location
of the laps and lighted streets are indicated on the map designated as Schedule
In, likewise attached.
The size, num.ber and location of lamps may be changed at the direction
of the Town at any t11lle during the term of this agre_ent. The circuits and
fixtures to be provided by the CC1IIIp8.l'J1' and the extent of the services to be
performed by the COIIlpI.D1 in replacing lamps and glassware may also be changed
during the term of this agreeent at the direction of the Town as provided in
Sections A-3, A-4 and A-' above. The wattage rating of lamps and tranafo1'ller
capaci ty on which the ener@1 and transforation charges are now based will also
be changed at the beginning of each calendar year if any change in the anufac-
turerls rating has occurred during the previous year. The fuel adjustment will
likewise be cbanged during the term of this agreement whenever changes in the
price of coal occur which vary- the amount of the adjustment determined in
accorc1ance with Section A-l(11) above.

Each monthly bill shall include the charges specified under A for an
entire month based on the l.am,ps in operation at the bes1Im1ng of the month for
which the bill is rendered, prortded that no adjustunt shall be _de in the
JDOnthly circuit charge because of reduction in the length of street then lighted
result1ng f'ro.m. seasonal or teaporary suspension of operation of any lamp.
C. Ter.ms of Pa,.ent.
:Bills shall be rendered tor each calendar JI01'lth and shall be paid by
the Town within 30 da7s fl'ODl the elate rendered.
D. Liability.
i!b.e failure of the COJII.pl!U'q to turn1sh any part of the service or equip-
ment herein contracted for shall Dot be construed as a breaoh of contract or
render the C~ liable in daasee to the Town it such tailure is caused by
reason of accidents, strikes, state or JIIUn1cipal interference, action ot the
el-.-ts, or other causes be;rond the control ot the Co.IIlp&Dy, by absence of a
report to the CCJ1!.P&D7 ot laaps not 'burning, or by the inability of the COIIlpe.ny
to obtain, without legal prooeedings, the necessary consent tor the erection ot
the poles, wires and other equipunt required to turn.1sh the service herein
contsaplated.
The Ccapany shall bancUe the electrici't7 supplied when in or upon the
cables, lightine fixtures and other tacili ties owned by the C~; care tor
and _intain all tacili ties owned. by the COJIlp&ny and used tor supplying the
service herein contracted tor; and replace lamps and glassware periodically or
during regularly scheduled workins hours as prortded in Section A-5.
The Town shall handle the electricity supplied when in or upon any
lighting tixtures or other tacili ties owned by the Town; maintain and operate
such facilities; replace Town-owned equi:raent vhc necessary; and replace lamps
and sJ,assware when the Company does not pertoN this service.

E. Term.
One year t1'ODl September 1, 1947 and thereafter tor succeeding periods
ot one year until tel"lD.1nated by ei th.er party by written notice 11:> the other at
least three B>nths prior to the expiration ot any ammal period.

F. Term1na tion of Previous Contracts.
This agreement includes all arrangements between the Town and the
Ccapa.ny relatiDS to street lighting to be effective atter the cOllllllenc_ent ot
its term and from and atter such cOlDeDC_ent it shall supersede and replace all
other contracts and understandiD88 between the parties resardins such lighting,
including the contract stated in the agreement dated July 11, 1935.
It this proposal meets with your approval, please indicate your
acceptance below and return. both copies ot this agreement to us tor our torma1
acceptance after which we will return one copy tor your records. When thus
accepted by both parties, this agre8U11t shall constitute a contract bind1ng upon
the parties hereto and their successors and assigns.
