THIS IND ENTURE, made the;;;j11 day of September, 1999, affecting land in the Town of Wappinger, Dutchess County, New York described in Schedule A (hereafter "Land") between ALPINE COMPANY OF POUGHKEEPSIE a Massachusetts general partnership : . with offices at 4 Clinton Square, Syracuse, New York, (hereinafter referred to as the "Grantor") in furtherance of its obligations under Paragraph One, 2(A)(I) and 2(B)(I) of a Declaration of Covenants and Restrictions dated December 15, 1998 and recorded in the Office of the Dutchess . County Clerk at Deed Liber 21927 cp 363. and TOWN OF WAPPINGER a municipal corporation with offices located at Town Hall, 20 Middlebush Road Wappingers Falls, New York (hereinafter referred to as "Grantee"). WITNESSETH: In consideration ofthe sum of one dollar ($\.00), lawful money of the United States, actuaI'consideration, the receipt of which is hereby acknowledged, the Grantor hereby grants and releases unto the Grantee, its successors and assigns forever, a perpetual, easement and right . of way to enter upon and lay, install, operate', maintain, repair and/or replace water lines and sanitary sewer lines, pipes and appurtenances(hereafter collectively described as "utility lines") on, over, across, through and under the Land of the Grantor in an easement area more particularly described in Schedules Band C annexed hereto. Grantee is granted the further right to enter on the lands of the Grantor for the purpose of obtaining access to the easement area. The said utility lines and appurtenances shall at all times remain the property of the 8 .' . Grantee and under its exclusive control and supervision, and the Grantor shall not interfere with or cause injury or damage to the said utility lines and appurtenances. The Grantor reserves the right to use and enjoy the said premises, except for the rights and privileges herein described and granted, provided that such use shall not interfere with or cause injury or damage to the said utility lines and appUl1enances thereto. This grant is made upon the express conditions and reservations which shall continue and run with the land: (a) That the Grantor shall not construct or erect any new permanent type of structure or building oyer or within said easement areas; however, to the extent any , permanent type of structure or building exists within an easement areas, it may be repaired or replaced in kind. (b) That the Grantor shall not plant or place any trees within said easement areas. The Grantee shall, at its own cost and expense, immediately after completion of any construction, repairs or replacement of utility lines restore the surface of said lands and premises to substantially the same condition as before such construction or repairs and shall correct any damage to the property of Grantor arising (rom its entry upon and use of the same. Any construction, repairs or replacement shall be undertaken in a manner that does not unreasonably interfere with the retail or other activities located on the Land of the Grantor. Any contractor or other person or entity retained or hired by the Grantee to perform any construction, repairs or replacement of any utility lines shall be required to name the Grantor as an additional insured on a property(casualty) damage and comprehensive general liability insurance policy in amounts equivalent to that otherwise required for the benefit of the Grantee but with no less then 2 .' ." $2,000,000.00 in coverage. This grant shall run with the land and shall be binding upon the Grantor and the Grantee and their respective successors, heirs and assigns.
