THIS DECLARATION d~ted the day and year hereinafter set forth
by SLD HOLDINGS, LLC, a New York limited 11~bility company, 1100

WITNESSETH:
WHEREAS, SLD Holdings, LtC (the Declarant) is the owner of
certain real property located in the TOWN OF WAPPINGER, County of
Dutohess and State of New York (the property) more partioularly
described by metes and l:lounds in a description annexed to this
Declaration and made a part of this Declaration as EXHIBIT Ai and
WHEREAS, Declarant acquired t11:1e to the property by deec.i
dated July 29, 2004 from ~tlaneio Mortgage Bankers Ltd.;and
WHEREAS, the aforesaid deed was heretofore reoorded on
