BARGAIN AND SALE DEED
WITH COVENANT AGAINST GRANTOR'S ACTS
THIS INDENTURE, made the 21st day of June, nineteen hundred and
ninety-nine,
BETWEEN
ANDLYN ASSOCIATES, INC., having an address at 210 New Hackensack
Road, Wappingers Falls, New York 12590, party of the first part,
and
the TOWN OF WAPPINGER, a municipal corporation, having an address
at 20 Middlebush Road, Wappingers Falls, New York 12590, party of
the second part,
WITNESSETH, that the party of the first part, in consideration of
Ten Dollars ($10.00), lawful money of the United states, and other
good and valuable consideration, paid by the party of the second
part, does hereby grant and release unto the party of the second
part, the heirs or successors and assigns of the party of the
second part forever,
ALL that certain tract or parcel of land situate in the Town of
Wappinger, County of Dutchess and state of New York, being more
particularly bounded and described in Schedule A annexed hereto
and made a part hereof.
BEING a portion of the premises conveyed by Grace Baptist
Church to Andlyn Associates, Inc. by deed dated September 22, 1998
and recorded in the Dutchess County Clerk's Office on October 14,
1998 in Liber 2017 of Deeds at Page 293.
TOGETHER with all right, title and interest, if any, of the party
of the first part in and to any streets and roads abutting the
above described premises in the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of
the party of the first part in and to said premises,
TO HAVE AND TO HOLD the premises herein granted unto the party of
the second part, the heirs or successors and assigns of the party
of the second part forever.
AND the party of the first part covenants that the party of the
first part has not done or suffered anything whereby the said
premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of
the Lien Law, covenants that the party of the first part will
receive the consideration for this conveyance and will hold the
right to receive such consideration as a trust fund to be applied
first for the purpose of paying the cost of the improvement and
will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any
other purpose.
THE word "party" shall be construed as if it read "parties"
whenever the sense of this indenture so requires.
THE premises herein described do not constitute all or
substantially all of the assets of the party of the first part.
IN WITNESS WHEREOF, the party of the first part has duly executed
this Deed the day and year first above written.

Dutchess and State of New York bounded and described as follows:

Beginning at a point in the northerly line of lands of the Town of Wappinger as described
in Liber 1340 of Deeds at Page 388 as "Tract 1 ", said point being South 76-22-11 East 745.15
feet and South 68-22-11 East 520.51 feet from its intersection with the easterly line of River Road
South (formerly known as Chelsea Lane or Chelsea Road), and running from thence through
lands of the grantor herein (Andlyn Associates, LLC) North 15-55-00 East 549.93 feet to a point
in a stone wall marking the southerly line of lands now or fonnerly of Pacific States Land
Corporation (Liber 1809 page 34); thence along the southerly line of said lands, running along
said wall, South 74-55-05 East 273.65 feet to a wall comer; thence crossing a swamp, South 73-
27-37 East 373.12 feet to a point in a stone wall; thence continuing along the southerly line of
Pacific States Land Corp., running along said wall, South 75-25-15 East 413.02 feet and South
