SECTION 00 4143 -FORM OF PROPOSAL
PART 1 -GENERAL
1.01 GENERAL
A. Pursuant to, and in compliance with, your Invitation to Bidders and the Information
to Bidders relative thereto and all of the Contract Documents, including any
Addenda issued by the Engineer and mailed to the undersigned prior to the
opening of Bids, w they rec ived by the undersigned or not, we (NAME OF
COMPANY):
hereby propose to furnish alt labor, supplies, materials and equipment incidental
to providing a Mobile ADA Restroom as required by and in strict accordance with
the applicable provisions of the Documents and Specifications entitled "Town of
Wappinger -Robinson Lane Baseball Field -Mobile ADA Restroom" all to the
satisfaction and approval of the Engineer and the Owner in accordance with the
terms and conditions of the Contract Documents. These prices are to cover all
expenses incurred in performing the work required under the contract
documents, of which this proposal is a part.
B. This contract shall include all work set forth in plans or specifications required to
complete the improvements described. The descriptive narratives prepared in the
bid form of the contract have been structured to define the general work required.
There is no intention, either implied or otherwise, that these narratives accurately
or completely list all items of work to be undertaken as part of the contract. Any
necessary work which is not specifically described in the contract documents shall
be included in the contract. Where used herein, the words "included" or "including"
shall mean "including but not restricted to". The contract shall include all labor,
material, equipment, plant, and other expenses required to perform the work
specified. Work shall be pertormed in accordance with all applicable permits. Prior
to start of work, the Contractor must submit a detailed construction schedule.

NON-COLLUSIVE BIDDING CERTIFICATE
In accordance with the provisions of Section 103-d of the General Municipal Law as
amended, the following "Non-Collusive Bidding Certificate" is and shall become a part of
this proposal: (a) By submission of this bid, each BIDDER and each person signing on
behalf of any BIDDER certifies, and, in the case of a joint bid, each party thereto certifies
as to its own organizations under penalty of perjury, that to the best of his knowledge and
belief; (1) the prices in this bid have been arrived at independently without collusion,
consultation, communication, or agreement, for the purpose of restricting competition, as
to any matter relating to such prices with any other BIDDER or with any competitor; (2)
unless otherwise required by law, the prices which have been quoted in this bid have not
been knowingly disclosed by the BIDDER and will not knowingly be disclosed by the
BIDDER prior to opening, directly or indirectly, to any other BIDDER or to any competitor;
and (3) no attempt has been made or will be made by the BIDDER to induce any other
person, partnership, or corporation to submit or not to submit a bid for the purpose of

In accordance with the provisions of Section 103-a of the General Municipal Law the
following clause is hereby inserted to provide:
"That upon the refusal of a person, when called before a grand jury to testify concerning
any transaction or contract had with the State, any political subdivision thereof, a public
authority or with any pubic department, agency, or official of the State or of a public
authority, to sign a waiver of immunity against subsequent criminal prosecution or to
answer any relevant question concerning such transaction or contract, (a) such person,
and any firm, partnership, or corporation of which he is a member, partner, director or
officer shall be disqualified from thereafter selling to or submitting bids to or receiving
awards from or entering into any contracts with any municipal corporation or any public
department, agency, or official thereof, for goods, work, or services, for a period of five
years after such refusal, and to provide also that (b) any and all contracts made with any
municipal corporation or any public department, agency, or official thereof, since the
effective date of this law, by such person, and by any firm, partnership, or corporation of
which he is a member, partner, director, or officer may be canceled or terminated by the

SECTION 00 5243 -AGREEMENT FORM
This Agreement is dated the _ day of August, in the year 2013, by and between the TOWN OF
WAPPINGER (hereinafter called the OWNER), and (hereinafter called the
CONTRACTOR)
OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth,
agree as follows:
Article 1. WORK
1.01 CONTRACTOR shall complete all WORK as specified or indicated in the Contract
Documents. The Project for which the Work under the Contract Documents may be the
whole or only a part is titled as follows:

Article 2. ENGINEER
2.01 The Project has been designed by Clark Patterson Lee, 900 Corporate Blvd., Newburgh
New York; who is hereinafter called ENGINEER and who is to act as OWNER'S
representative, assume all duties and responsibilities and have the rights and authority
assigned to ENGINEER in the Contract Documents in connection with completion of the
Work in accordance with the Contract Documents.
Article 3. CONTRACT TIMES
3.01 Time of the Essence
A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness
for final payment as stated in the Contract Documents are of the essence of the Contract.
3.02 Days to Achieve Substantial Completion and Final Payment
A. The Work will be completed 120 days after the date when the Contract is executed,
whichever is sooner. The Signing of the Contract will function as the Notice to Proceed.
Article 4. CONTRACT PRICE
OWNER shall pay CONTRACTOR for completion of the Work in accordance with the Contract
Documents an amount in current funds equal to the sum of the amounts determined pursuant to
paragraph 4.01 below:
4.01 For all Unit price Work, an amount equal to the sum of the established unit price for each
separately identified item of Unit Price work times the estimated quantity of that item as
indicated in this paragraph 4.01 (see attached BID section for specific items).

The Owner Reserves the right to select the lowest responsible Bidder AND which technology is to
be used for completing the work. The Owner also reserves the right to reject any and all bids.
Article 5. PAYMENT PROCEDURES
5.01 Submittal and Processing of Payments
A. CONTRACTOR shall submit Applications for Payment to the ENGINEER. Applications for
Payment will be processed by ENGINEER.
5.02 Progress Payments: Retainage
A. CONTRACTOR shalt submit Application for payments (AIA Document G702-1992 and
AIA Document 703-1992) for portions of the work completed under the contract on or
about the 20th day of each month during performance of the Work provided in paragraphs
5.02.A.1 and 5.02.A.2 below. All such payments will be measured by the schedule of
values established (and in the case of Unit Price Work based on the number of units
completed) or, in the event there is no schedule of values:
1 • Upon Substantial Completion, OWNER shall pay an amount to CONTRACTOR of
100% of the Work completed, less such amounts as ENGINEER shall determine
and less ENGINEER'S estimate of the value of the Work to be completed or
corrected.
Article 6. INTEREST
6.01 All moneys, except retainage, not paid within 45 days, following submittal of engineer-
approved application for payment, shall bear interest at a point above the current prime rate.
Article 7. CONTRACTOR'S REPRESENTATIONS
7.01 In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the
following representations:

the Addenda) and the other related data identified in the Bidding Documents including

E. CONTRACTOR has obtained and carefully studied (or assumes responsibility for having
done so) all such additional supplementary examinations, investigations, explorations,
tests, studies, and data concerning conditions (surface, subsurface and underground
facilities) at or contiguous to the Site or otherwise which may affect cost, progress,
performance, or furnishing of the Work or which relate to any aspect of the means,
methods, techniques, sequences, and procedures of construction to be employed by
CONTRACTOR, including applying the specific means, methods, techniques, sequences,
and procedures of construction, if any, expressly required by the Contract Documents to
be employed by the CONTRACTOR, and safety precautions and programs incident
thereto.
F. CONTRACTOR does not consider that any additional examinations, investigations,
explorations, tests, studies or data are necessary for the pertormance and furnishing of
the Work at the Contract Price, within the Contract Times and in accordance with the other
terms and conditions of the Contract Documents.
G. CONTRACTOR is aware of the general nature of work to be pertormed by OWNER and
others at the Site that relates to the Work as indicated in the Contract Documents.
H. CONTRACTOR has correlated the information known to CONTRACTOR, information and
observations obtained from visits to the Site, reports and drawings identified in the
Contract Documents and all additional examinations, investigations, explorations, tests,
studies and data with the Contract Documents.
I• CONTRACTOR has given ENGINEER written notice of all conflicts, errors, ambiguities or
discrepancies that CONTRACTOR has discovered in the Contract Documents, and the
written resolution thereof by ENGINEER is acceptable to CONTRACTOR.
J. The Contract Documents are generally sufficient to indicate and convey understanding of
all terms and conditions for pertormance and furnishing of the Work.
K. CONTRACTOR shall, upon written notice from the Engineer, remedy any defects in the
Work which shall appear within a period of one (1) year from date of final payment for
completed Work.
Article 8. CONTRACT DOCUMENTS
8.01 Contents
A. The Contract Documents which comprise the entire agreement between OWNER and
CONTRACTOR concerning the Work consist of the following:

7. The following which may be delivered or issued after the Effective Date of the
Agreement and are not attached hereto:
B. All Written Amendments and other documents amending, modifying or supplementing the
Contract Documents.
C. The documents listed in paragraphs 8.01 et seq. above are attached to this Agreement
(except as expressly noted otherwise above).
D. There are no Contract Documents other than those listed above in this Article 8. The
Contract Documents may only be amended, modified or supplemented in writing.
Article 9. MISCELLANEOUS
9.01 No assignment by a party hereto of any rights under or interests in the Contract
Documents will be binding on another party hereto without the written consent of the party
sought to be bound; and, specifically but without limitation, moneys that may become due
and moneys that are due may not be assigned without such consent (except to the extent
that the effect of this restriction may be limited by law), and unless specifically stated to the
contrary in any written consent to an assignment no assignment wilt release or discharge
the assignor from any duty or responsibility under the Contract Documents.
9.02 OWNER and CONTRACTOR each binds itself, its partners, successors, assigns and legal
representatives to the other party hereto, its partners, successors, assigns and legal
representatives in respect to all covenants, agreements and obligations contained in the
Contract Documents.
9.03 Any provision or part of the Contract Documents held to be void or unenforceable under
any Law or Regulation shall be deemed stricken, and all remaining provisions shall
continue to be valid and binding upon OWNER and CONTRACTOR, who agree that
Contract Documents shall be reformed to replace such stricken provision or part thereof
with a valid and enforceable provision that comes as close as possible to expressing the
intention of the stricken provision.
9.05 OTHER PROVISIONS. (If applicable)
IN WITNESS WHEREOF, OWNER and CONTRACTOR have signed this Agreement in triplicate.
One counterpart each has been delivered to OWNER, CONTRACTOR and ENGINEER. All
portions of the Contract Documents have been signed, initialed or identified by OWNER and
CONTRACTOR or identified by ENGINEER on their behalf.

2.1 PERFORMANCE REQUIREMENTS
A. Structural Performance: Mobile ADA Restroom shall withstand normal loads and stresses
within limits of typical use.
B. Thermal Movements: Allow for thermal movements from ambient and surface temperature
changes.
C. Electrical Components, Devices, and Accessories: Listed and labeled as defined in NFPA 70,
by a qualified testing agency, and marked for intended location and application.
D. Regulatory Requirements: Comply with applicable provisions in the U.S. Architectural &
Transportation Barriers Compliance Boazd's ADA-ABA Accessibility Guidelines and
ICC A117.1.

Comforts of Home Services Inc COHSI (warrantor), of Montgomery Illinois hereby
provides a 5 year limited warranty on our trailer frame and axles and a 2 year limited
warrantee on the trailer as a whole. Sealant, electrical components, hydraulics, hoses,
wall coverings, trim and paint are warranted for 1 year. The warrantor guarantees the
product against defects in materials and workmanship. The warranty described in this
agreement is in lieu of all other warranties, expressed or implied from COHSI or its
suppliers. This warrantee shall apply to the retail consumer (original purchaser), as
shown on the sales agreement.
Certain individual components are warranted by their respected manufacturers'
warranties and therefore are excluded from the limited warranty provided by the
warrantor. These components include, but are not limited to; tires, wheels, axles,
couplers, jacks, light fixtures, windows, doors, heaters, air conditioners, toilets, sinks,
faucets, pumps, etc. Warranty claims must be filed with the respective component
manufacturers' warranty department.
This limited warranty is void if the product:
1. Is not properly maintained and/or inspected.
2. Is neglected, abused or misused.
3. Is overloaded or made to perform beyond recommended specifications.
The limited warranty is also void if damage results from continued use after a suspected
defect is or should have been discovered. The warrantor reserves the right to make the
final determination as to whether any of the above exclusions may nullify a warranty
claim.
The warranty shall not pay nor make provisions for:
1. Service charges; towing charges; and transportation charges, which are the
responsibility of the purchaser.
2. Loss of time, inconvenience; loss of use; rental substitution equipment; loss of
revenue; or other commercial or personal loss.
3. Loss or damage to any and all contents.
4. Defacing; scratches; dents; chips; and tears, on any surface, not caused by the
warrantor.
Furthermore the warrantor does not warranty any modification(s) made to either the
interior or exterior of the product, even if damage occurs as a result of warranty claim.
The warrantor may not cover items that can be maintained or repaired using basic human
skills in a short time; for example, tightening a leaky hose/pipe or other item,
replacing/tightening screws, and other simple quick repair and maintenance type items.
Please refer to the products owner's manual, or authorized representative of the
warrantor, for instructions on filing a warranty claim. The provisions of the limited
warranty shall be interpreted and governed pursuant to the laws of the State of Illinois.
