Resolution to Authorize the Dial -A -Ride Contract
At a regular meeting of the Town Board of the Town of Wappinger, Dutchess County,
New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on January
22nd, 2007.
The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll being
called, the following were present:

The following Resolution was introduced by Councilman Beale and seconded by
Councilman Paoloni.
WHEREAS, the Town has previously entered into Agreements with Dutchess County to
provide a joint service transportation system for senior citizens and handicapped individuals; and
WHEREAS, said Agreement has been amended and extended from time to time; and
WHEREAS, the Town has been presented with a proposal to provide such joint
transportation service for calendar year 2007 as set forth in a proposed Extension and
Amendment Agreement, a copy of which is attached hereto, made a part hereof, marked and
designated as Exhibit "l"; and
WHEREAS, the Town desires to extend the term of said Agreement for an additional
period of one (1) year for the calendar year 2007 as set forth in Exhibit "1"
NOW, THEREFORE, BE IT RESOLVED, that the Town Board hereby accepts the
terms and conditions set forth and contained in the Extension and Amendment Agreement
attached hereto as Exhibit"l", to provide a joint transportation service system for senior citizens
and handicapped individuals and agrees to pay the sum of Thirty Nine Thousand, Nine Hundred
and Fifteen Dollars 84/100 ($39,915.84) for such service.
BE IT FURTHER RESOLVED, that the Supervisor of the Town is hereby authorized
and directed to execute the Extension and Amendment Agreement, a copy of which is affixed
hereto as Exhibit "1" by and on behalf of the Town of Wappinger.
The foregoing was put to a vote which resulted as follows:

Attached are five copies of the 2007 Agreement between Dutchess County
and your municipality for the provision of Dial A Ride Service.
Kindly sign all five copies and return them all to me at Dutchess Countv
Office for the Aging, 27 High Street, Poughkeepsie NY 12601 for further
processing. A copy of the fully executed agreement will be sent to you.
In addition, should you wish to make a new appointment as your
representative to the Dial A Ride Advisory Board for 2007, please let me
know the individual's name and mailing address as our first meeting will be
held January 25th.

EXTENSION AND AMENDMENT AGREEMENT
THIS AGREEMENT, made this day of , 2007, by and
between the COUNTY OF DUTCHESS, a municipal corporation with offices at 22
Market Street, Poughkeepsie, New York 12601 (hereinafter referred to as the
"COUNTY"), and TOWN OF WAPPINGER, a municipal corporation whose
address is PO Box 324, 20 Middlebush Road, Wappingers Falls, NY 12590
(hereinafter referred to as the "PARTICIPATING MUNICIPALITY").
WITNESSETH:
WHEREAS, the parties hereto made and entered into an agreement dated
April 29, 2004 (County Contract No. 04 -0342 -12/04 -OA), providing a joint service
transportation system for Senior Citizens and Handicapped individuals, which
contract has from time to time been extended, and
WHEREAS, the parties desire to further extend and amend the term of said
contract for an additional period of one (1) year, upon the terms and conditions
hereinafter set forth, now, therefore, it is mutually agreed by and between the
parties hereto that County Contract No. 04 -0342 -12/04 -OA, dated April 29, 2004, is
hereby further extended and amended upon the following terms and conditions.
The fourth "WHEREAS" paragraph of the underlying Agreement
shall be amended as follows:
WHEREAS, the Town Board of the Town of
Wappinger has agreed to participate in the support to the
program not to exceed $39,915.84, and
2. Paragraph "2," entitled "Term of Agreement," shall provide as
follows:
This Agreement shall be effective January 1, 2007 and
shall terminate on December 31, 2007, unless otherwise
terminated as set forth herein.
3. Paragraph "3," entitled "Payment," shall provide as follows:
The Town will pay to the County, pursuant to signed voucher
submitted to the Town, pursuant to the schedule of collections
attached hereto and made a part hereof and marked Exhibit "B-3."
Payments by the Town will not exceed $39,915.84 during the term of
this Agreement.
4. All other terms and conditions of the underlying agreement, and any
amendment thereto not expressly amended or altered by this

agreement, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement.
