2006-095I IAR-17-2006 FRI 10:38 AM VSR&P LLC FAX N0. 845 298 2842 PUBLIC NOTICE TOWN OF WAPPINGER NOTICE OF ADOPTION OF RESOLUTION SUBJECT TO PERMISSIVE REFERENDUM Notice is hereby given that the Town Board of the "town of Wappinger, Dutchess County, New York, at a regular meeting thereof, held on March 13, 2006, duly adopted the following resolution, subject to permissive referendum: RESOLUTION NO. 2006-_, RESOLUTION AUTHORIZING LEASE AGREEMENT FOR BAYS AND OFFICES WITHIN THE TOWN'S EMERGENCY SERVICES BUILDING TO TRANSCARE At a regular meeting of the Town Board of the Town of Wappinger, Dutchess County, New York, hold at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on the 13th day of March, 2006, at 7:30 P.M. The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll being called, the following were present: PRESENT: Supervisor Joseph Ruggiero Council Members - Robert L. Valdati Joseph P. Paoloni Mai Teen McCarthy ABSENT: Vincent Bettina The following Resolution was introduced by Mr. Paoloni and seconded by Ms. McCarthy OAWoppingeffown BoarMESOLUTIONITrenoCare Lease Agreement - 2005.doe .` MAR -17-2006 FRI 10:38 AM VSR&P LLC FAX N0. 845 298 2842 P. 03 WHEREAS, the Town has agreed to lease a portion of the Emergency Services Building to TransCare Corp. ("TransCare"), in accordance with the Lease Agreement to be executed by the parties; and WHEREAS, the pertinent material terms of the Lease Agreement include a $2,000.00 per month rental fee for bays and offices within the aforementioned Emergency Service Building of the Town; and WHEREAS, the term of that Lease Agreement will match the original duration of twenty (20) years commencing in 1994 and terminating in the year 2014, echoing the agreement of TransCare's predecessors, Sloper-Willen Community Ambulance Service, Inc. and Alamo Ambulance Service, Inc., and WHEREAS, the duration of the lease and option periods are subject to incremental increases in the monthly rent fee, NOW, THEREFORE, BE 1T RESOLVED, as follows: I. The recitations above set forth are incorporated in this Resolution as if fully set forth and adopted herein. 2. The Town Board hereby agrees to execute and enter into a written Lease Agreement with TransCare Corp, with the terms aforesaid of $2,000.00 per month rental fee for designated bays and offices and incremental increases in rent through the lease term and option period. 3. Supervisor Joseph Ruggiero is hereby authorized to execute the Lease Agreement between the Town of Wappinger and TransCare Corp. on behalf of the Town in substantially the same form as attached hereto as Exhibit "A".
