RESOLUTION AUTHORIZING THE PURCHASE OF MINUTETRAQ BY
TOWNCLERK.COM
At a regular meeting of the Town Board of the Town of Wappinger, Dutchess
County, New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New
York, on the 126' day of December, 2005 at 7:30 p.m.
The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll
being called, the following were present:

The following Resolution was introduced by Mr. Paoloni
seconded by Mr. Bettina
and
WHEREAS, John C. Masterson, Town of Wappinger Town Clerk has recommended to
the Town Board the purchase of MinuteTraq computer software from Town Clerk. com ,
and
WHEREAS, The Town Board reviewed MinutetTraq and TownClerk.com's services,
and
WHEREAS, Town Clerk.com MinuteTraq computer software will cost Four -Thousand
Six Hundred and 00/100 dollars ($4600.00) for installation, Training, and Licenses, and
additional Fifteen Hundred and 00/100 dollars per year ($1500.00) for Maintenance &
Hosting, and
WHEREAS, the Town Board has agreed to purchase MinuteTraq by TownClerk.com in
the amount of Six Thousand One Hundred and 00/100 dollars ($6100.00) plus the Fifteen
Hundred and 00/100 dollars per year for maintenance and hosting .
NOW, THEREFORE, BE IT RESOLVED, as follows:
1. The recitations above set forth are incorporated in this Resolution as if fully set
forth and adopted herein.
2. Payment is approved in the amount of Six Thousand One Hundred and 00/100
($6100.00) made payable to TownClerk.com from account number HY1680.4

MINUTETRAQ LICENSE AGREEMENT
IMPORTANT NOTICE TO USER: CompuSolve Government Solutions, LLC. owns all intellectual
property in the MinuteTraq Software. CompuSolve permits you to use the software only in
accordance with the terms of this agreement. Use of some third party materials included in the
software may be subject to other terms and conditions typically found in a separate license
agreement or "Read Me" file located near such materials.
1. Definitions. "Software" means (a) all of the contents of the files, disk(s), CD-ROMs) or other
media with which this Agreement is provided, including but not limited to (i) MinuteTraq or third
party computer information or software; (ii) related explanatory written materials or files
("Documentation"); and (iii) fonts; and (b) upgrades, modified versions, updates, additions, and
copies of the Software, if any, licensed to you by CompuSolve (collectively, "Updates"). "Use" or
"Using" means to access, install, download, copy or otherwise benefit from using the functionality
of the Software in accordance with the Documentation. "Permitted Number" means one (1) unless
otherwise indicated under a valid license (e.g. volume license) granted by CompuSolve,
"Computer" means an electronic device that accepts information in digital or similar form and
manipulates it for a specific result based on a sequence of instructions. "CompuSolve" or
"TownCierk.com" rneans CompuSolve Government Soiulions, LLC., a New York limited liability
company, 1650 Sycamore Avenue, Suite 40, Bohemia, New York 11716, if subsection 9(a) of this
Agreement applies. "You, Your, Consumer, Customer, Client, Company" shall mean the Subscriber
indicated on the MinuteTraq Subscription Order Form.
2. Software License.
This software program (the "Program") and the accompanying files, lists and documentation (the
"Documentation") are licensed, not sold, to you. The term "Program" shall also include any updates
of the Program licensed to you by CompuSolve. Subject to the terms of this agreement, you have a
non-exclusive and non -transferable right to use the Program and Documentation. CompuSolve
reserves all rights not expressly granted to you.
2.1 General Use. You may install and Use a copy of the Software on your compatible computer for
the purpose of connecting to the hosted service provided by CompuSolve as long as you are a
current subscriber and maintain your monthly hosting fee(s).
2.2 The software license is valid for a number of concurrent users per agency/board. The number
of concurrent users is maintained by the monthly hosting fee. Additional concurrent users are
available based on the current pricing. Price is subject to change upon renewal.
2.3 Warranty Disclaimer. Service Providers offer Services solely in accordance with the applicable
Issuer Statement. Access to the services through the use of the software is made available on an
"as is" basis only and without any warranty or indemnity of any kind (except as supplied by a
service provider in its issuer statement). CompuSolve and each service provider (except as
expressly provided in its issuer statement) make no warranties, conditions, indemnities,
representations or terms, express or implied, whether by statute, common law, custom, usage or
otherwise as to any other matters, including but not limited to non -infringement of third party
rights, title, integration, accuracy, security, availability, satisfactory quality, merchantability or
fitness for any particular purpose with respect to the services.
2.4 Indemnity. You agree to hold CompuSolve and any applicable Service Provider (except as
expressly provided in its Issuer Statement) harmless from any and all liabilities, losses, actions,
damages, or claims (including all reasonable expenses, costs, and attorneys fees) arising out of or
relating to any use of, or reliance on, any Service Provider, including, without limitation (a) reliance
on an expired or revoked certificate; (b) improper verification of a certificate; (c) use of a
certificate other than as permitted by any applicable Issuer Statement, this Agreement or
applicable law; (d) failure to exercise reasonable judgment under the circumstances in relying on
the Service Provider; or (e) failure to perform any of the obligations as required in an applicable
Issuer Statement.
