They had two issues. The 2nd issue concerned maximum lot coverage that has to be redefined because of the definition of impervious coverage in residential districts regarding maximum lot coverage. He added that if it is over 10%, it is considered a non-farm use whether free standing or on a barn The public hearing was adjourned to June 27th. A resident asked if the law applied to solar shingles. Attorney Horan said it would be considered as a construction material, and needs only electrical permit. Grand Martial Community Day -Jay Morse Ralph Holt made an announcement to inform the board that Mr. Jay Morse has been selected to be the Grand Marshal at the 2016 Community Day parade scheduled for September 10th, 2016. 2. Carnwath Proposal for the Buidlings Tyler Graham and Sven Lundback came to introduce themselves as candidates for a proposal to make use of the 99 acre Carnwath Farms Park. Tyler Cider brought an introductory pamphlet that he distributed to the board. Nothing was given to the Town Clerk for publishing in these minutes. He explained that the plan is to make fermented cider and beer on a farm and promote Town of Wappinger Page 3 Printed 611612016 Regular Meeting Minutes May 23, 2016 agriculture tourism, events, etc. He envisioned a beer garden, farmers market, and hotel rooms. Mr. Lundback explained that he has been making beer for a while and underscored Mr. Graham's introduction. Councilman Beale informed that the town does not have the resources to run an organization as such and welcomed a turnkey operation. Supervisor Jiava explained the history of her dealings with them and the non-disclosure nature of this for proprietary reasons during the due-diligence period. Councilman Fenton asked for a time frame. Mr. Graham explained that this needed to be looked at and to identify the phases and its timetables with a draft of a memorandum of understanding. He added that it is too preliminary to answer. Attorney Roberts asked how much time they needed to develop the milestones. Mr. Lundback responded that it was more about the milestones. He added that in six months, "We can't say that we need six months and that at six months we can have a conversation like this and we can both walk away, because after six months we will have spent a lot of money, so in six months we will need to know that if we come back after six months with let's say viable information, well then we can move forward." Attorney Roberts said usually there is a time limit on due diligence. Mr. Graham said we don't want to guess on how long it will take to fix the building. Supervisor Jiava interjected saying that the reason they came before the board was to see if they could draft a memorandum of understanding so that the board would not negotiate with anybody else while they were doing their due-diligence. She added that as long as the board was being updated and meeting milestones, that she didn't see why the board would not move forward with you with each step. Mr. Graham cited other projects that their financier has had success with and wanted assurance that their plan would not be taken away by another entrepreneur. Other comments were made and the discussion concluded. 3. Motion To: Spend $2,000 for One Green Power Factor Unit to be used at the Atlas Wells Mr. Mazziatii appeared before the board and handed out pamphlets to board members only. None was given to the Town Clerk for any reference or posting in these minutes. He recently approached the Supervisor about saving the town up to 25% on energy. He identified the power consuming devices around the town,particularly the pumps at the water district. He recommended a fixed rate versus a variable rate which is what the town has. He proposed looking at the pump houses using a capacitor to store energy and feed the pump with energy as it needs it. He added that it is not subject to spikes and surges. Supervisor Jiava suggested picking one large location and use it as a trial and expand them if the test works out favorably. Mr. Mazziatti proposed a$2,000 expense with a monthly on-going lease of$75. The lease can be stopped at any point and the equipment would last 25 years. Supervisor Jiava summarized that Atlas incurs costs of$7,714 (she assumed monthly), with the 20% savings of approximately $1,543 or an annual savings of$18,513 per year. She backed out the lease and the full cost of the meter each year; however the cost of$2,000 for the meter is a one-time cost and should have been amortized over the life of the equipment, i.e. $80 per year. She estimated $15,600 saving, however in actuality is should have been higher or $17,533 using a charge for depreciation of $80 per year along with the $900 per year lease fee. Councilman Beale asked if other municipalities were using this. The answer was no. It's very new. He added that a residential box would cost $600. The board moved to trial it with one installation at the Atlas wells. Mr. Mazziatti said that Central Hudson has no opinion on this. He added that this would not circumvent the circuit breaker. Resolution for Funding for Blacktopping of Roads Councilman Fenton requested this agenda item, and subsequently found that the procurement policy was followed correctly. Highway Superintendent Bettina added that he needs $790,000 but has $400,000 from bonds leaving a shortage of$390,000 with anticipated monies from the state of$220,000. He added that he can't do the work unless ALL the money is there. Thus, he is requesting $390,000 even though $220,000 is coming back or actually $170,000 for the next board meeting. Attorney Roberts suggested bonding. Supervisor Jiava agreed. Councilman Beale asked the Town Accountant look at the unrestricted B/DB fund balance to help make the decision on whether to incur bonding or escrow the cash. Councilman Beale and Highway Superintended asked to have Accountant Awino have these fund balances ready for the next meeting. Councilman Fenton asked who manages the certified payroll for the contractors. Attorney Roberts replied that the certified bidders provided the certification. 5. Motion To: Declare as Surplus Some Items from the Carriage House at Carnwath Those with Value to Auction, those without Disposed Steve Frazier appeared and explained an email sent to the board regarding surplus equipment. No email was sent to the town clerk for recording in the minutes. He Ford 272 mower purchased in 1993 with replacement cost of$1,000 along with other repairs. He requested to declare it as surplus. He identified a vacuum attachment that hasn't been used to combine with the machine. He identified a new Holland mower with a missing cylinder and that repair cost would exceed the value along with a vacuum attachment. He identified a 1998 John Deere 935 with a cracked transmission housing with a number of parts scavenged. He identified 5-21 inch push mowers that haven't been used since he started working here. He identified a pond aerator and office furniture including a reception desk to be declared as surplus. He identified a number of other office furniture items. Motion To: Offer a Letter Supporting Healthy Communities Scott Williams and Elizabeth from (sounds like) Operata Purthas Opening Doors, a non-profit that operates in the Town of Poughkeepsie, Town of Wappinger, and the Village of Wappingers Falls; came to ask the town to author a letter of support for a grant application to the healthy cities and counties challenge. He said, "The Village of Wappingers Falls is partnering with Operata Purthas which already offers existing programming and family health to the residents of those three municipalities." They are looking to get a 100% grant from this private grant to fund this programming, expand it, and improve it at no cost involved to broadening and improve it. Resolutions RESOLUTION: 2016-124 Resolution Authorizing The Execution Of An Inter-Municipal Cooperative Agreement Between The Town Wappinger, The Town Of Poughkeepsie And The Village Of Wappingers Falls For A Wappinger Creek Recreation Committee WHEREAS, the Town of Wappinger, the Town of Poughkeepsie and the Village of Wappingers Falls wish to enter into an Inter-Municipal Cooperation Agreement for a Wappinger Creek Recreation Committee; and WHEREAS, the Town of Wappinger, the Town of Poughkeepsie and the Village of Wappingers Falls share the Lower Wappinger Creek and it is recreationally utilized; and WHEREAS, through a CDBG grant, a Hudson River Improvement Fund grant, and a Department of Environmental Conservation Hudson River Estuary Access grant, which were obtained by the VILLAGE, the creation of a Lower Wappinger Creek Community Boathouse and Park will commence in the near future; and WHEREAS, the VILLAGE relies solely on volunteers for its recreational programming; and WHEREAS, the Town of Wappinger and the Town of Poughkeepsie have paid Recreation Departments with higher programming capabilities; and WHEREAS, the location of the proposed boathouse and parkland are located within the Village of Wappingers Falls; and WHEREAS, the three partnered municipalities desire to establish an agreement for managing these shared resources; and WHEREAS, the Town of Wappinger, Town of Poughkeepsie and the Village of Wappingers Falls hereby agree to the terms and conditions as contained in the Inter-Municipal Cooperation Agreement for a Wappinger Creek Recreation Committee; and WHEREAS, the Town Board hereby authorizes the Town Supervisor to execute the Inter-Municipal Cooperation Agreement for a Wappinger Creek Recreation Committee. NOW, THEREFORE, BE IT RESOLVED, as follows: 1. The recitations above set forth are incorporated in this Resolution as if fully set forth and adopted herein. 2. RESOLUTION: 2016-176 Resolution Adopting Local Law No. 2 Of The Year 2016, "Adoption Of Zoning Provisions For Solar Energy Systems For The Town Of Wappinger." RESOLUTION: 2016-182 Resolution Extending Temporary Town-Wide Moratorium On The Installation Of Freestanding Or Ground-Mounted Solar Energy Systems For One Additional Three Month Term WHEREAS, on November 9, 2015, by Resolution 2015-232, the Town Board adopted Local Law 2 of 2015 which established a Temporary Town-Wide Moratorium on the Installation of Freestanding or Ground-Mounted Solar Energy Systems in the Town of Wappinger; and WHEREAS, Section XI of Local Law 2 of 2015 provided for a moratorium term of three months from its effective date, subject to review and renewal by the Town Board of the Town of Wappinger for two (2) additional three (3) month extensions by Town Board Resolution; and WHEREAS, Local Law 2 of 2015 became effective on December 3, 2015 upon filing with the Secretary of State, and therefore it shall expire on March 3, 2016 unless it is extended; and WHEREAS, the purpose of the Temporary Town-Wide Moratorium on the Installation of Freestanding or Ground-Mounted Solar Energy Systems is to preserve the status quo in the Town of Wappinger pending the completion and adoption of the Town's new zoning regulations with respect to solar energy systems; and WHEREAS, on January 26, 2016 by Resolution 2016-68 the Town Board adopted a resolution extending the Temporary Town-Wide Moratorium on the Installation of Freestanding or Ground-Mounted Solar Energy Systems in the Town of Wappinger until June 3, 2016; and WHEREAS, the new zoning regulations have been introduced at a public hearing and are being reviewed by the Town Board, and it is anticipated that the revisions will be adopted by September 3, 2016; and WHEREAS, the Town Board has determined an extension of the moratorium term is warranted and it is in the best interest of the residents and property owners of the Town of Wappinger to extend the provisions of Local Law 2 of 2015 for an additional three-month term by resolution pursuant to Section XI thereof, and Town of Wappinger Page 14 Printed 611612016 Regular Meeting Minutes May 23, 2016 WHEREAS, The Town Board may terminate the Moratorium earlier than three months provided that the new zoning law is adopted and the appropriate revision to the land use regulations have been made. This policy is not in line with the practices of several to other municipalities surrounding the Town of Wappinger. It is general practice to charge for booths at this sort of event, and I have discovered fees that range from $25-$175 for spaces similar to what we offer (see attached list). Our proposal is to 0 charge $25 dollars per booth regardless of their status as a profit or non-for profit agency. This is on the low end as fees go, however as this is our first year charging in quite a few years, better to start low. What we are seeking is the Town Board's approval for the Recreation Committee to handle the fees for these vendor booths. If this is handled by the Recreation Committee, the money can then go to the direct funding of Community Day. This will reduce the amount of taxpayer funding required to pay for the activities of Community Day. The primary objective is to establish conditions for the use of debt and to create procedures and policies that minimize the Town=s debt service and issuance costs, retain the highest practical credit rating, 0 and maintain full and complete financial disclosure and reporting. The policies apply to all general obligation debt issued by the Town, debt guaranteed by the Town, and any other forms of obligation of indebtedness. as Regular, updated debt policies can be an important tool to insure the use of the Town=s resources to meet its commitments to provide needed services to the citizens of the Town and to maintain sound financial management practices. These policies are therefore guidelines for general use, and allow for exceptions in extraordinary conditions. The Town Board has adopted these policies by resolution. As one function of these policies is to stimulate discussion and broader appreciation of debt issues, these policies will serve as a guideline. Under the recommendation of the Town=s Financial Advisor, and/or Bond Counsel, the Town will evaluate its experience under these policies, and will make changes if needed. The co UJ Debt Management Policies of the Town can be adjusted at any time by resolution of the Town Board. Creditworthiness Objectives Policy 1. Credit Rating: The Town seeks to maintain the highest possible credit ratings for all 0 categories of short-and long-term General Obligation debt that can be achieved without compromising delivery of basic Town services and achievement of adopted Town policy 0 obj ectives. 0 0. The Town recognizes that external economic, natural, or other events may from time to time affect the creditworthiness of its debt. The Town Board remains committed to ensuring the actions within their control are prudent and beneficial to its citizens. Policy 2. Financial Disclosure: The Town is committed to full and complete financial disclosure, and to cooperating fully with rating agencies, institutional and individual investors, Town departments and agencies, other levels of government, and the general public to share clear, comprehensible and accurate financial information. The Town is committed to meeting secondary disclosure requirements on a timely and comprehensive basis. E Packet Pg. 52 9.7.a 2 Policy 3. Capital Planning: To enhance creditworthiness and prudent financial management, the Town is committed to systematic capital planning, intergovernmental cooperation and coordination, and long-term financial planning. Evidence of this commitment to systematic capital planning will be demonstrated through adoption of a three to five-year Comprehensive Capital Budget. Purposes and Uses of Debt 0 Policy 4. Debt Limits: The Town will keep outstanding debt within the limits prescribed by State statute and at levels consistent with its creditworthiness objectives. Policy 5. Capital Financing: The Town normally will rely on internally generated funds and/or grants and contributions from other governments to finance its capital needs. Debt will be issued for a capital project only when other funding is not available or sufficient. 0 Policy 6. Asset Life: Town debt will not be issued for periods exceeding the useful life or average useful lives of the project or projects to be financed, as recommended by its Bond Counsel and Financial Advisor. e Debt Standards and Structure e UJ Policy 7. Length of Debt: Debt will be structured for the shortest period consistent with a fair allocation of costs to current and future beneficiaries of users. as Policy 8. Debt Structure: Debt will be structured to achieve the lowest possible net cost to the Town given market conditions, the urgency of the capital project, and the nature and type of security provided. Moreover, to the extent possible, the Town will design the repayment of its overall debt so that within the first 10 years, the debt service is amortized at a rate of at least 70% 0 as to recapture rapidly its credit for future use. Policy 9. BANs: Use of short-term borrowing, such as bond anticipation notes (BANs) will be g undertaken only if the transaction costs plus interest of the debt are less than the cost of internal financing, or available cash is insufficient to meet working capital requirements. as Policy 10 Property Tax Supported Net Debt Thresholds: In order to maintain appropriate budgetary controls and to prevent imposing excessive burden on taxpayers of the Town, it is the intention of the Town Board to its overall net debt supported by local real property taxes to no 2 more than 15% of its debt limit and no more than 3% of full market value. They provide a degree of stability and the resources to weather fluctuations in revenues and expenditures without severely impacting real property tax rates. Fund balances and adequate reserves should be managed and reviewed on a regular basis. In its evaluations of credit ratings, a formal fund balance policy is cited by all major rating agencies (Moody's, Standard& Poor's and Fitch) as a best management practice commonly used by better rated communities. Municipalities that adhere to a fund balance policy are viewed as being more pro-active and this reflects well on management, which in turn results in higher credit ratings and lower borrowing costs. A formal policy is an effective operating tool because it minimizes political concerns and keeps the Town more focused on achieving 0 structural balance. Auditors and financial advisors often note that fund balances are not replaceable through the budget process because of the legal requirement to develop balanced budgets for the general fund and the special revenue funds. The Town does face significant pressure on the revenue and expenditure sides of its budget, and therefore on its reserves. If surplus is depleted at the end of a fiscal year, it cannot be replaced unless during the ensuing fiscal year expenditures are less than amounts budgeted or non-tax revenues are higher than projected (or both). 0 In recognition of sound fiscal policy and in order to stabilize and possibly enhance the current credit rating of the Town, the Town will make all reasonable efforts to maintain an unassigned fund balance in its General Fund at the end of each fiscal year equal to no less than 10% of its total operating budget. Such unassigned fund balance will be exclusive of any reserve funds maintained by the Town. The Town believes that this is a reasonable amount of unassigned co fund balance to achieve at the end of each fiscal year as unanticipated events during the course of a year can have negative effects on non-tax revenues or expenditures, or both. If an emergency or a need were to occur that necessitated the appropriation of funds that would result in reducing the unassigned fund balance in the General Fund below 10% of operating expenditures, a separate resolution of the Town Board would be adopted to approve such 0 appropriation. Subsequent to such resolution, the Town would immediately begin the process of reducing expenditures or raising revenues in order to restore the unassigned fund balance in the 0 General Fund to 10% of operating expenditures. 0 Unassigned fund balance in the General Fund above 10% may be appropriated for the following purposes: To reduce the subsequent year's property taxes. For one-time capital expenditures. For emergencies caused by natural occurrences such as hurricanes or blizzards. U.
