At a Regular Meeting of the Town Board of the Town of Wappinger, Dutchess County,
New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on May 30,
2018.

The following Resolution was introduced by Councilman Beale and seconded by
Councilman Kuzmicz.
WHEREAS, the processing of the payroll for the employees of the Town of Wappinger
is a detailed and time-consuming undertaking because of the numerous deductions, varying rates
of pay, and a multitude of mandatory tax withholdings; and
WHEREAS, the Town Comptroller and the Supervisor have investigated the practicality
and financial benefits to have an outside company handle the payroll processing for the
employees of the Town of Wappinger; and
WHEREAS, most private employers and small municipalities engage the services of
payroll service firms; and
WHEREAS, the use of a payroll service firm will greatly reduce and/or eliminate the
liability of the Town for errors in calculating withholding taxes and other liabilities due; and
WHEREAS, the payroll services selected include software that will assist the Town with
developing appropriate budgets and determining areas for cost savings; and
WHEREAS, payroll services a professional service that is not subject to competitive
bidding; and
WHEREAS, the Town Board has determined that it is in the best interest of the Town to
retain the services of an outside payroll services company.
NOW THEREFORE BE IT RESOLVED, that the Town Board of the Town of
Wappinger hereby authorizes the award of a contract for payroll services to Paychex, Inc.
commencing on June , 2018; and
BE IT FURTHER RESOLVED, that the Town Board of the Town of Wappinger
hereby authorizes the expenditure of $10,500 from Budget Line A1315.405 to pay for the
contracted services during fiscal year 2018; and
BE IT FURTHER RESOLVED, that the Town Board of the Town of Wappinger
hereby authorizes the following budget transfer to effectuate the purpose of this resolution; and

BE IT FURTHER RESOLVED, that the Town Board of the Town of Wappinger
hereby authorizes the Supervisor to execute the annexed Paychex Flex Enterprise Services
Agreement with Paychex, Inc. and to deliver a copy of the same to Paychex, Inc.
