2003-053RESOLUTION NO. 2003-053 RESOLUTION TO AUTHORIZE THE EXECUTION OF THE AGREEMENT BETWEEN THE TOWN OF WAPPINGER AND THE COUNTY OF DUTCHESS At the regular meeting of the Town Board of the Town of Wappinger, Dutchess County, New York, held at Town Hall, 20 Middlebush Road, Wappingers Falls, New York, on the I& day of February, 2003, at 7:30 P.M. The meeting was called to order by Joseph Ruggiero, Supervisor, and upon roll being called, the following were present: PRESENT: Supervisor - Joseph Ruggiero Councilmen - Robert L. Valdati Vincent F. Bettina Joseph P. Paoloni Christopher J. Colsey ABSENT: The following Resolution was introduced by Mr. Bettina and seconded WHEREAS, the Town entered into an Agreement with the County dated February 9, 1998 (County Contract No. 98 -0129 -12/98 -OA) providing a joint service transportation system for senior citizens and handicapped individuals; and and WHEREAS, said Agreement has been amended and extended from time to time; WHEREAS, the Town desires to extend the term of said Agreement for an additional period of one (1) year. NOW, THEREFORE, BE IT RESOLVED, that the Town Board hereby accepts the terms and conditions set forth and contained in the Extension Agreement dated 2003, by and between the County of Dutchess and the Town of Wappinger, for providing a joint service transportation system for senior citizens and handicapped individuals. BE IT FURTHER RESOLVED, that the Supervisor of the Town is hereby directed and authorized to execute the Extension Agreement a copy of which is affixed hereto by and on behalf of the Town of Wappinger. EXTENSION AGREEMENT THIS AGREEMENT, made this day of , 2003, by and between the COUNTY OF DUTCHESS, a municipal corporation with offices at 22 Market Street, Poughkeepsie, New York 12601 (hereinafter referred to as the "COUNTY"), and WAPPINGER, TOWN OF, a municipal corporation whose address is 20 Middlebush Road, Wappingers Falls, NY 12590 (hereinafter referred to as the "CONTRACTOR"). WITNESSETH: WHEREAS, the parties hereto made and entered into an agreement dated February 9, 1998 (County Contract No. 98 -0129 -12/98 -OA), providing a joint service transportation system for Senior Citizens and Handicapped individuals, which contract has from time to time been extended, and WHEREAS, the parties desire to extend the term of said contract for an additional period of one (1) year, upon the terms and conditions hereinafter set forth, now, therefore, it is mutually agreed by and between the parties hereto that County Contract No. 98 -0129 -12/98 -OA, dated February 9, 1998, is hereby extended upon the following terms and conditions. 1. The fourth "WHEREAS" paragraph of the underlying Agreement shall be amended as follows: WHEREAS, the Town Board of the Town of Wappinger has agreed to participate in the support to the program not to exceed $32,592.00, and 2. Paragraph "2," entitled "Term of Agreement," shall provide as follows: This Agreement shall be effective January 1, 2003 and shall terminate on December 31, 2003, unless otherwise terminated as set forth herein. 3. Paragraph "3," entitled "Payment," shall provide as follows: The Town will pay to the County, pursuant to signed voucher submitted to the Town, pursuant to the schedule of collections attached hereto and made a part hereof and marked Exhibit `B-5." Payments by the Town will not exceed $32,592.00 during the term of this Agreement. 4. All other terms and conditions of the underlying agreement, and any amendment thereto not expressly amended or altered by this agreement, shall remain in full force and effect.
